Quantum eMotion to Buy Plurilock in C$33.8 Million Mixed Deal
The quantum-secure technology developer said the acquisition is intended to move it toward a commercial cybersecurity business with existing revenues, customers and delivery channels.
Quantum eMotion Corp. (QNC) agreed to acquire Plurilock Security Inc. for aggregate equity consideration of approximately C$33.8 million, a mixed cash-and-stock transaction intended to accelerate its shift from developing quantum-secure technologies toward a broader commercial cybersecurity business.
Under the terms, Plurilock shareholders will receive C$0.084 in cash and 0.0763 Quantum eMotion common shares for each Plurilock common share, implying total consideration of C$0.28 a share. The package represented an implied premium of approximately 100% to Plurilock’s 20-trading-day volume-weighted average price on the TSX Venture Exchange as of September 25, 2026.
The proposed acquisition is intended to accelerate Quantum eMotion’s transition from primarily developing and validating quantum-secure technologies toward a cybersecurity business with existing revenues, customers, sales channels and delivery capabilities.
“This proposed acquisition is about accelerating the next stage of Quantum eMotion’s development,” said Francis Bellido, President and CEO of Quantum eMotion. “We have built a portfolio of quantum-secure cybersecurity technologies and are advancing key components through important NIST and FIPS validation processes. Plurilock adds commercial reach, customer relationships, cybersecurity operations and AI-driven cybersecurity technologies that we believe can help accelerate the commercialization of these innovations. By combining AI-driven, continuous risk intelligence and identity with quantum-secure cryptographic enforcement, we believe QeM can build a differentiated cybersecurity platform at the intersection of AI and quantum security.”
Bellido’s remarks framed the combination as a pairing of Quantum eMotion’s quantum-secure cryptographic work, still moving through NIST and FIPS validation, with Plurilock’s commercial operations and AI-driven cybersecurity technologies. The mix of cash and stock would fund the purchase while issuing new Quantum eMotion common shares as part of the consideration.
The deal is a proposed acquisition; the release did not state an expected close date or additional closing conditions beyond the terms already described. Quantum eMotion aims to use Plurilock’s existing customer base and delivery infrastructure to commercialize quantum-secure components that remain in validation.
