Ventas Raises 2026 Outlook After $5.2 Billion in Year-to-Date Senior Housing Investments

Third-quarter 2026 total company NOI grew 18% year-over-year. Full-year normalized FFO guidance is now $3.87 to $3.90 a share, with the midpoint at $3.89, after $1.2 billion of third-quarter senior housing closings.

Ventas, Inc. (VTR) reported 18% year-over-year growth in total company NOI for the third quarter ended September 30, 2026, and raised its full-year earnings outlook for a third consecutive quarter, citing additional senior housing purchases that lifted completed 2026 investment volume to $5.2 billion through September 30.

The S&P 500 healthcare real estate company now expects attributable net income of $0.64 to $0.67 a share, midpoint $0.66, versus a prior range of $0.58 to $0.63. Nareit FFO guidance moved to $3.83 to $3.86 a share. Normalized FFO guidance is $3.87 to $3.90 a share, midpoint $3.89, versus $3.85 to $3.90 previously. The company said the increase is primarily the result of 2026 accretive senior housing investment activity, partially offset by interest rates and foreign exchange.

Guidance assumptions now include $5.2 billion of completed senior housing investments, versus about $4.5 billion in the July outlook, and a full-year weighted average diluted share count of 509 million, versus 506 million. Disposition and loan repayment proceeds remain about $700 million at a roughly 7% blended yield. Interest expense is assumed at about $648 million at the midpoint.

In the third quarter ended September 30, 2026, Ventas closed $1.2 billion of senior housing investments. Year to date it settled 47.3 million shares under equity forward sales agreements for gross proceeds of $3.9 billion and had $0.8 billion of unsettled forwards at quarter-end, totaling $4.7 billion in equity capital.

Normalized FFO attributable to common stockholders was $0.99 a share, up 10% from a year earlier, after a 9% year-over-year increase in the second quarter. Nareit FFO was $1.01 a share. Attributable net income was $0.13 a share.

Total company same-store cash NOI grew 11% year-over-year, accelerating from 10% in the second quarter. SHOP same-store cash NOI growth held at 16%, matching the second-quarter rate. Same-store revenue per occupied room grew 5%. Average occupancy rose 290 basis points. Same-store cash NOI margin expanded 190 basis points, slower than 210 basis points in the second quarter. The company said the margin gain reflected favorable operating leverage combined with RevPOR and occupancy growth.

U.S. SHOP same-store cash NOI increased 17%, with average occupancy up 320 basis points to exceed 90%. Total company NOI grew 18%.

Net debt to further adjusted EBITDA was 4.4 times at September 30, nearly a full turn below the year-ago period. The company said the improvement was driven by SHOP NOI growth and equity-funded senior housing investments. Liquidity was $4.5 billion, including credit-facility availability, cash and unsettled equity forwards.

Chairman and CEO Debra A. Cafaro said the company is advancing a pipeline of actionable SHOP investment opportunities and that the new investments are expected to increase the growth rate on a multiyear basis.
