Ventas Lifts 2026 Guidance as Senior Housing Investment Pace Doubles

Ventas raised its full-year investment target to $4.5 billion, a $1.5 billion increase that marks the largest single guidance raise in a string of upward revisions this year.

Ventas (VTR) raised its full-year 2026 investment volume guidance to $4.5 billion, up from $3 billion, as the healthcare-focused real estate investment trust reported normalized funds from operations of $0.97 a share for the second quarter, up 9% year-over-year.

The $1.5 billion guidance increase was the third consecutive upward revision in 2026, following a raise to $3 billion in the first quarter from an implied $2.5 billion after the fourth-quarter 2025 report, and it was the largest single increase in that trend. The step-up in deal-making showed up in the pace of closings: year-to-date senior housing investment closings reached $3.4 billion through the second quarter, roughly double the $1.7 billion closed through the first quarter, meaning the company closed $2.2 billion in the second quarter alone versus $1.0 billion in the first.

Normalized FFO growth held at 9% year-over-year, matching the first quarter's pace but off a higher base, as the per-share figure rose to $0.97 from $0.94 in the prior quarter. Total company same-store cash net operating income growth accelerated to 10% in the quarter from 9% in the first quarter, while total company NOI growth, a broader measure, rose to 17% from 14%.

Senior housing operating properties remained the primary growth engine. Same-store cash NOI in that segment grew 16% year-over-year, roughly flat with the more-than-15% pace in the first quarter, with U.S. senior housing operating same-store cash NOI up 18% on a 360-basis-point occupancy gain. Margin expansion in the segment accelerated to 210 basis points from 170 basis points in the first quarter, even as revenue growth held at 9% and occupancy gains decelerated slightly to 300 basis points from 310. The triple-net and outpatient medical segments grew same-store cash NOI 3.1% and 4.6%, respectively, both trailing the senior housing operating segment's 16.3% growth and widening the mix gap toward that business.

Ventas raised its full-year normalized FFO guidance midpoint to $3.88 a share from $3.86, and lifted its Nareit FFO midpoint to $3.79 from $3.73, with year-over-year growth now guided to 8%-10%, up from an implied 7%-9% in the prior guide. Attributable net income guidance narrowed to a range of $0.58 to $0.63 a share from $0.56 to $0.63, lifting the midpoint to $0.61 from $0.60. The updated guidance assumes about $700 million in disposition and loan repayment proceeds at a roughly 7% blended yield, nearly triple the $300 million assumed in the prior quarter's guide, alongside a modest increase in projected interest expense to about $646 million.

The stepped-up deployment came alongside a decline in liquidity to $4.9 billion as of June 30 from $5.5 billion at the end of March, even as the company continued settling equity forward contracts. Leverage improved to 4.7 times net debt to further adjusted EBITDA from 5.0 times, nearly a full turn better than a year earlier and the tenth consecutive quarter of sequential improvement. Full-year weighted average diluted share count guidance rose to 506 million from 504 million, reflecting the continued equity forward settlements.

Ventas began excluding non-cash stock-based compensation expense from normalized FFO starting with the first quarter of 2026, restating prior periods to conform to the new methodology. No dividend change was disclosed in either the first- or second-quarter releases, following the increase announced with the fourth-quarter 2025 report.
