CRH Completes $8.5 Billion Arcosa Deal
The building-materials group closed the $150-a-share cash merger, converting Arcosa into a wholly owned subsidiary and lifting combined U.S. aggregates production past 265 million tons.
CRH (CRH) completed its acquisition of Arcosa, Inc. (ACA), converting the Dallas-based infrastructure materials company into a wholly owned subsidiary in an all-cash merger that valued Arcosa at a total enterprise value of approximately $8.5 billion.
At the effective time of the merger, subject to the terms and conditions of the merger agreement, each share of Arcosa common stock issued and outstanding immediately prior to the effective time was converted into the right to receive $150.00 in cash, without interest, less applicable withholding taxes, other than Company restricted stock awards, shares owned or held in treasury by the company or owned by Parent or Merger Sub, and shares held by holders who did not vote in favor of the merger and properly exercised appraisal rights. All such shares ceased to be outstanding, were automatically cancelled and ceased to exist. Unvested restricted stock units and restricted stock granted before June 21, 2026 vested and were cash-settled at the same $150.00 per share, plus accrued dividend equivalents. Aggregate cash consideration for the common stock and cash-settled equity awards was approximately $7.5 billion.
The June 22 signing had framed the $150-a-share offer as a 25% premium to Arcosa’s 60-day trading VWAP as of June 18, 2026, and as an 11.5x multiple of 2026 estimated Adjusted EBITDA, including estimated annual run-rate cost synergies of $175 million by year three. CRH said the deal was expected to be accretive to earnings, margin and cash flow in the first 12 months after completion.
Parent obtained the funds to pay the merger consideration through proceeds of a $3.25 billion bridge facility and a $2.5 billion term loan, each entered into with J.P. Morgan SE as agent and certain lenders, together with cash on hand. On the closing date Arcosa terminated its Second Amended and Restated Credit Agreement, which had provided a $700 million revolving facility and a $700 million term loan, and repaid approximately $450.1 million in principal, accrued interest and other amounts. The company said it did not incur material early-termination fees.
Arcosa’s Construction Products business is a U.S. aggregates platform with 109 quarries and yards, nine asphalt plants, 19 terminals and approximately 35 million tons of 2025 aggregates shipments, serving 13 of the 50 largest U.S. metropolitan statistical areas across Texas, New Jersey, Arizona, Florida and Tennessee. CRH said the combination puts annualized production at more than 265 million tons. Arcosa’s Engineered Structures business is a top-three manufacturer of critical infrastructure products in the energy transmission market.
Jim Mintern, CRH chief executive, said: “Arcosa is an excellent strategic fit for CRH and fully aligns with our growth ambitions.” At signing he had said the acquisition reinforces CRH’s position as the No. 1 infrastructure player in North America and advances an aggregates-led, connected portfolio.
Arcosa notified the NYSE and NYSE Texas that the merger had been completed and requested that trading be suspended before the opening on October 23, 2026, and that the common stock be removed from listing on both exchanges. The company said it intends to file a Form 15 seeking to terminate registration of all shares of common stock and suspend related reporting obligations.
