Cencora to Buy American Oncology Network for $2.4 Billion

The mixed-structure purchase is meant to expand Cencora’s physician-led oncology MSO and support of care in communities across the country.

Cencora, Inc. (COR) agreed to acquire American Oncology Network, Inc. in a mixed-structure transaction with an enterprise value of $2.4 billion, consisting of $2.3 billion at closing and contingent value rights of up to $100 million.

The pharmaceutical distributor said the purchase will expand its physician-led oncology management-services organization and support of care in communities across the country, enhancing capabilities for independent practices and fortifying its growth platform.

“The acquisition of AON will expand our physician-led oncology MSO and support of care in communities across the country,” said Robert P. Mauch, President and Chief Executive Officer of Cencora.

The deal is subject to customary closing conditions, including receipt of required regulatory clearances and AON stockholder approvals.

Cencora framed the combination as a way to deepen its oncology MSO footprint and the support of care it provides to independent practices. The $2.3 billion amount at closing is the bulk of the $2.4 billion enterprise value, with the remaining up to $100 million delivered through contingent value rights rather than at the close.

Mauch, who is president and chief executive officer of Cencora, said the acquisition will expand the company’s physician-led oncology MSO and support of care in communities across the country.

The company said the transaction is expected to enhance capabilities for independent practices and fortify its growth platform. Closing remains subject to customary conditions, including required regulatory clearances and AON stockholder approvals.
