Trilogy Metals to Close $35.6 Million U.S. War Investment

The Alaska copper explorer said definitive agreements with the Department of War are signed and closing is expected in September 2026.

Trilogy Metals Inc. (TMQ) said it has executed definitive agreements for an approximately US$35.6 million strategic equity investment by the U.S. Department of War to advance exploration and development of the Upper Kobuk Mineral Projects in northwestern Alaska, with closing expected in September 2026.

The all-cash transaction is priced at 8,215,570 units at US$2.17 a unit. The Department of War is investing to advance exploration and development of the Upper Kobuk Mineral Projects.

President and Chief Executive Officer Tony Giardini called the execution of the agreements a defining milestone for Trilogy Metals and for building a secure, domestic supply of critical minerals for America in Alaska. He said the company is positioned to close on the financing from the U.S. Government in the near term and looks forward to continuing work with South32, federal and state agencies, and Alaska Native communities to responsibly develop the district.

The deal had been in motion since October 2025, when Trilogy, South32 Limited (S32) and Ambler Metals LLC entered a binding letter of intent with the Department of War for the same US$35.6 million investment. Under that framework, the government intended to invest about US$17.8 million in Trilogy Metals in exchange for 8,215,570 units at US$2.17 a unit, each unit comprising one common share and three-quarters of a 10-year warrant, and about US$17.8 million in South32 in exchange for shares it already held plus a 10-year call option on additional shares, with proceeds reinvested in Ambler Metals. The Department of War was to hold approximately 10% of Trilogy Metals.

In June 2026, the parties extended the targeted closing date from May 31 to July 31 to finalize definitive documentation. The U.S. Government had completed its Foreign Ownership, Control or Influence risk assessment of Trilogy Metals, Congress had reauthorized the Defense Production Act, and Ambler Metals, South32, Trilogy and the government were discussing a framework agreement for financing and construction of the proposed 211-mile Ambler Access Project road.

The Upper Kobuk Mineral Projects are held by Ambler Metals, Trilogy’s 50/50 joint venture with South32, and sit in the Ambler Mining District, one of the richest known copper-dominant districts in the world. Exploration has focused on the Arctic volcanogenic massive sulfide deposit and the Bornite carbonate replacement deposit within a land package of about 190,929 hectares.

Permitting has moved in parallel. On May 15, 2026, the Arctic Project was accepted as a Covered Project under FAST-41, placing it on the Federal Permitting Dashboard. Ambler Metals filed a Clean Water Act Section 404 permit application with the U.S. Army Corps of Engineers in April 2026. Trilogy Metals reported a cash balance of US$38.8 million as at May 31, 2026, and had begun a fully funded 2026 summer field program with two diamond drill rigs at Arctic.

Trilogy said it expects to close the Department of War financing in September 2026 and to use the funds, together with South32, to advance exploration and development of the Upper Kobuk Mineral Projects.
