Construction Partners to Buy Asphalt Express in Asset Deal

The vertically integrated civil infrastructure company said the purchase adds liquid asphalt supply and transportation in Oklahoma and North Texas.

Construction Partners, Inc. (ROAD) agreed to acquire Asphalt Express Enterprises, LLC in an asset purchase that will add liquid asphalt supply and transportation capabilities in Oklahoma and North Texas.

The vertically integrated civil infrastructure company’s transaction is another step in its strategy to strengthen vertical integration and invest in assets that support its construction and asphalt production operations. No purchase price, exchange ratio, or expected closing date was disclosed in the announcement.

Fred J. (Jule) Smith, III, the company’s President and Chief Executive Officer, said, “We are pleased to welcome the Asphalt Express team to the CPI family of companies. This transaction represents another step in our strategy to strengthen our vertical integration and strategically invest in assets that support our construction and asphalt production operations.”

CPI operates in local markets throughout the Sunbelt in Alabama, Florida, Georgia, North Carolina, Oklahoma, South Carolina, Tennessee and Texas, supported by hot-mix asphalt plants, aggregate facilities and liquid asphalt terminals. The company has been adding asphalt production and paving assets across those states over the past year.

In July, CPI completed the acquisition of Ellsworth Construction, LLC, an asphalt manufacturing and construction business headquartered in Tulsa, Oklahoma. The acquired operations, including a hot-mix asphalt plant in Broken Arrow and a permitted plant site in Greater Oklahoma City, will continue under Overland Corporation, CPI’s Oklahoma platform company. Smith said the Ellsworth deal expanded the company’s presence in Tulsa and Oklahoma City, which he described as the two fastest-growing metropolitan areas in the state.

In Texas, CPI has concentrated on Houston. In August 2025, it acquired Durwood Greene Construction Co. and G&S Asphalt, Inc., adding three hot-mix asphalt plants and a rail-serviced aggregates terminal. In October 2025, it bought eight additional hot-mix asphalt plants and related crews from affiliates of Vulcan Materials Company, folding them into Durwood Greene. In February 2026, it acquired GMJ Paving Company, LLC, whose Baytown plant became CPI’s twelfth in the Houston metro area. Smith said those Houston moves were intended to expand market share and add throughput at nearby liquid asphalt terminals.

The Asphalt Express purchase extends that liquid-asphalt and transportation theme into Oklahoma and North Texas. The assets will support CPI’s existing construction and asphalt production operations in those regions. The company did not say how the acquired supply and transportation assets will be integrated into Overland or its Texas platform companies.
