Diamondback Energy sells mineral interests to Viper Energy

The companies entered a definitive purchase agreement for royalty interests in exchange for units and Class B common stock.

Diamondback Energy is transferring mineral and royalty interests to Viper Energy. The companies entered a definitive purchase agreement on August 3, 2026, to facilitate the acquisition.

Diamondback Energy will receive 3,654,979 OpCo units and an equivalent number of Class B common stock shares in exchange for the assets. The deal remains subject to transaction costs and customary post-closing adjustments.

"On August 3, 2026, the Issuer, as parent, and Viper Energy Partners LP, as buyer, entered into a definitive purchase agreement to acquire certain mineral and royalty interests from the Reporting Persons and related subsidiaries in exchange for 3,654,979 OpCo units and an equivalent number of shares of the Issuer's Class B Common Stock, subject to transaction costs and certain customary post-closing adjustments (the "Purchase Agreement")."

Diamondback Energy expects the transaction to close in September.
