Getty Investors Form Capital-Solutions Group With KED
Getty Investments and KED acknowledged a Section 13(d)(3) group on August 25, 2026, as Getty Images weighs financing alternatives.
Getty Investments LLC and KED acknowledged the formation of a “group” under Section 13(d)(3) of the Securities Exchange Act on August 25, 2026, to discuss Getty Images Holdings’ strategic and liquidity alternatives and potential capital solutions.
The issuer publicly disclosed on July 21, 2026, that it was evaluating strategic financing alternatives and balance-sheet management initiatives related to its capital structure, liquidity position, and financial outlook, and had engaged Guggenheim Securities, LLC, as its financial advisor. Getty Investments said it and other reporting persons have from time to time engaged in, and intend to continue to engage in, discussions with the issuer, other current or prospective holders of Getty Images debt or other indebtedness, sources of credit, and other third parties.
The newly named Proposed Transaction Group may undertake the activities described in the amended Item 4, subject to agreements with certain stakeholders. Either Getty Investments or KED may cease to participate at any time upon notice to the other. The parties are not, and do not intend to become, joint filers with KED; the Joint Filing Agreement dated September 6, 2022, remains in effect solely among the reporting persons. Getty Investments and KED are individually filing Schedule 13D filings under Rule 13d-1(k)(2).
Getty Investments said it may participate in any transaction resulting from the issuer’s evaluation, and that certain capital solutions under consideration, if pursued, could relate to or result in actions described in clauses (a) through (j) of Item 4 of Schedule 13D. The reporting persons have not determined to pursue any particular course of action, are under no obligation to pursue any capital solution, and may discontinue discussions at any time. Nothing in the amended Item 4 constitutes an offer to purchase or sell, or a solicitation of an offer to purchase or sell, any securities.
The group’s formation turns Getty Images’ financing review into a coordinated creditor-side conversation rather than a single-holder position, with participation remaining optional and revocable.
