Stilwell Group Adds Letter Amendment at Wheeler REIT
The activist group reported a 49.99% stake in the real estate investment trust after new side agreements.
Stilwell Joseph’s activist group reported a 49.99% stake in Wheeler Real Estate Investment Trust, Inc. (WHLR) after entering into new side agreements with the company.
The group filed its Thirty-Eighth Amendment to report that, on August 17, 2026, it entered into a Third Letter Agreement Amendment and a Registration Rights Agreement with the issuer, documents defined and further discussed in Item 6 of that amendment. Copies were attached as Exhibits 27 and 28.
Its purpose in acquiring the common stock is to profit from the appreciation in the issuer’s securities and the market price of the shares by asserting shareholder rights. Members may seek to make additional purchases or sales of shares. Except as described in the filing, no member of the group has any plans or proposals relating to, or that could result in, any of the matters referred to in paragraphs (a) through (j) of Item 4 of Schedule 13D. Members may, at any time and from time to time, review or reconsider their positions and formulate plans or proposals with respect thereto.
Since 2000, members or affiliates have taken an “activist position” in 80 other publicly traded companies. In each instance, the purpose has been to profit from the appreciation in the market price of the shares held by asserting shareholder rights. The group believed that the values of those companies’ assets were not adequately reflected in the market prices of their shares, and those actions are described in Schedule A, attached and incorporated by reference.
The new Letter Agreement Amendment and Registration Rights Agreement leave the group’s stated intent unchanged: to press shareholder rights at Wheeler and to trade the stock as its position evolves.
