Intersnack Group to Buy Utz Brands in All-Cash Deal
The acquisition will take the U.S. snack manufacturer private, with Intersnack Group and the Rice and Lissette Family Entities each holding a 50% stake.
Intersnack Group GmbH & Co. KG agreed to acquire Utz Brands, Inc. (UTZ) in an all-cash transaction.
Under the terms of the agreement, Intersnack Group will pay $14.25 a share in cash. The deal is expected to close in the fourth quarter of 2026.
The transaction is structured to take Utz Brands private. Upon completion, the company will be owned equally, with Intersnack Group and the Rice and Lissette Family Entities each holding a 50% interest in the business.
Utz Brands operates as a leading U.S. manufacturer of branded salty snacks. Its portfolio includes several "Power Brands" such as Utz, On The Border, Zapp’s, and Boulder Canyon, alongside other labels including Golden Flake, Tortiyahs!, and Hawaiian. The company also manages a segment of non-branded and non-salty snacks, which includes private label and co-manufacturing services.
The company has been focusing on organic growth in its branded salty snacks category. For the full fiscal year ended December 28, 2025, Utz Brands reported net sales of $1.44 billion, with branded salty snacks organic net sales increasing 4.7%. In the first quarter of 2026, the company reported net sales of $361.3 million, with branded salty snacks growth of 5.2%.
