Vistance Networks Revises 2026 Adjusted EBITDA Outlook

Third-quarter net sales were $319.7 million as the company revised full-year adjusted EBITDA guidance to $180 million to $200 million.

Vistance Networks, Inc. (VISN), a global provider of intelligent network solutions, reported third-quarter net sales of $319.7 million, a 5.4% year-over-year decline that followed a 1.4% drop in the second quarter.

GAAP income from continuing operations was $54.7 million, or $0.24 a share, compared with a loss of $18.9 million, or $(0.16) a share, a year earlier. Non-GAAP adjusted EBITDA was $56.6 million, up 128.2% from $24.8 million a year earlier, after a 32.1% year-over-year decline in the prior quarter.

Aurora, the company’s reportable segment, which represents substantially all of net sales and excludes general corporate costs previously allocated to the divested RUCKUS and CCS businesses, posted operating income of $23.0 million, down 9.8% from $25.5 million a year earlier. Aurora non-GAAP adjusted EBITDA was $56.8 million, up 5.0% from $54.1 million, and the margin rose to 17.8% of net sales from 16.0%.

Aurora net sales of $319.8 million decreased 5.3% year-over-year, driven by a decrease in the legacy business, partially offset by an increase in the Access Technologies business, the company said. United States sales were $252.9 million, down 7.9%. Europe, Middle East and Africa sales were $26.6 million, up 75.0%. Asia Pacific sales were $18.5 million, up 11.4%. Caribbean and Latin America sales were $10.3 million, down 36.8%. Canada sales were $11.4 million, down 24.5%.

Aurora orders increased 41% year-over-year, and backlog totaled $410 million, up 3%. Chief Financial Officer Kyle Lorentzen said Aurora delivered $320 million of revenue and $57 million of adjusted EBITDA in the third quarter, generally aligned with expectations, as memory chip pricing and stranded costs were more than offset by a lower variable compensation.

President and Chief Executive Officer Chuck Treadway said the company continued to make progress across the Vistance Networks business, supported by ongoing DOCSIS 4.0 deployments and adoption of next-generation intelligent amplifiers. He said memory chip pressures and customer deployment timing continue to impact near-term performance.

The company is revising full-year adjusted EBITDA guidance to $180 million to $200 million, primarily resulting from customer demand being pushed out into 2027, Lorentzen said. In the first quarter, Lorentzen had said the Aurora standalone business was expected to deliver between $225 million and $250 million of adjusted EBITDA in 2026.

Cash flow used in operations was $57.5 million, and free cash flow used was $57.7 million, versus $72.7 million and $74.7 million used in the second quarter. The company ended the quarter with $683.1 million in cash and cash equivalents and total liquidity of approximately $842.0 million, with no outstanding borrowings under its asset-based revolving credit facility.

Including a recently announced $1.50 per share special distribution, the company said it will have distributed $16.50 per share in 2026. Through October 30, 2026, it had repurchased $225 million of stock under existing programs. The board approved a new $100 million share repurchase authorization in addition to $250 million of prior authorizations.
