Enhanced to Take 77% Stake in DEAG
The sports-IP company said the all-stock purchase of a controlling interest in the German live-events promoter would combine owned sports IP, a telehealth platform and about 6,000 annual events with proprietary ticketing.
Enhanced Group Inc. (ENHA) agreed to acquire an approximately 77% controlling interest in DEAG Deutsche Entertainment AG in an all-stock transaction, a combination the sports-IP company said would merge owned sports intellectual property and a telehealth platform with DEAG’s live-event and ticketing operations.
The $8 per-share consideration values 100% of DEAG’s equity at approximately $115 million, with an implied enterprise value of approximately $139 million. Enhanced is issuing the consideration shares at an approximately 13% premium to its own closing price of $7.11 the day before the announcement. Participating DEAG shareholders will receive 1 Enhanced share for approximately 1.7 DEAG shares, with no cash consideration as part of the transaction. The deal is expected to close in the first quarter of 2027, subject to customary closing conditions and applicable regulatory requirements.
Enhanced, which went public through a business combination with A Paradise Acquisition Corp. that was consummated on May 7, 2026, has built its brand around the Enhanced Games and the Live Enhanced telehealth and consumer-wellness platform. The company said the DEAG purchase would transform it into a sports and live entertainment platform by pairing that owned sports IP and telehealth stack with DEAG’s roughly 6,000 annual live events and proprietary ticketing, creating what Enhanced described as a global platform for in-real-life, human-centered experiences.
Maximilian Martin, co-founder and chief executive officer of Enhanced, framed the combination around scarcity of live human experiences as artificial intelligence and robotics reduce demand for labor. “I believe one of the most significant long-term consequences of AI and robotics will be a gradual reduction in the need for human labor. And I believe people will mostly allocate this free time to shared, real live human experiences. This creates scarcity, as sports and live experiences cannot be automated or replicated by AI. A live game, a concert, a record broken in front of a crowd - all those moments create goosebumps and become more valuable as everything else becomes digitally abundant. We believe the winners will be the companies that own the content, the stage and the ticket. With DEAG, Enhanced will have all three: owned sports and live IP, a broad promoter and venue network, and proprietary ticketing. And we believe we are acquiring it at a very attractive valuation.”
The acquisition consideration is in stock with no cash consideration. Enhanced is conducting a concurrent $15 million PIPE, placed with several long-term oriented, blue-chip family offices and funds, including participation by Apeiron Investment Group, expected to close alongside the DEAG acquisition. After closing, Enhanced plans to integrate DEAG’s promoter and venue network with the Enhanced Games franchise and Live Enhanced subscription platform. Enhanced has described Live Enhanced as a direct-to-consumer, subscription-based platform offering physician-guided performance protocols, telehealth access and personalized supplementation, and has said it intends to monetize the Enhanced Games through media rights, sponsorships, branded content and licensed consumer products.
The company said the combined platform would sit alongside existing partnerships in content, event infrastructure and live-event production as it scales the DEAG event calendar. Closing remains subject to customary conditions and regulatory approvals, with the first quarter of 2027 as the expected window.
