Ja-Lika Corp to Sell Shares for Wellness Software Build
The Wyoming development-stage company is registering a self-underwritten primary offering to fund Recovery Readiness Assessment Software.
Ja-Lika Corporation, a Wyoming development-stage wellness technology company, is registering a self-underwritten primary offering of common stock with no minimum purchase requirement, aiming to raise capital to finish a flagship product that has not been completed, tested, or commercially released.
The company said it was formed to convert lifestyle, behavioral, and self-reported wellness data into structured insights for organizations and digital platforms. Its planned flagship, the Recovery Readiness Assessment Software, is intended to evaluate recovery status from sleep, stress, energy, and lifestyle factors. If that product ships, Ja-Lika said it plans to expand into a broader Wellness Intelligence Platform covering sleep, stress management, metabolic wellness, healthy aging, and preventive lifestyle analytics. The planned solutions are described as wellness and informational only, not medical diagnoses or treatment.
The company said it has generated no revenue, has no employees, and its only operational asset is a corporate website that describes the planned products and business model. It is managed by two directors, Catiene Machado Albuquerque Assumpcao and Emylle Cappelletti. Assumpcao holds the existing shares, which are not being offered for resale. Ja-Lika said it is not publicly traded and that there is no guarantee a trading market will develop.
Net proceeds are intended for intended operations, working capital, and general corporate purposes. The company said it estimates it will require funding over the next twelve months to move from an informational website to a functional AI-powered wellness assessment platform, including a website redesign, software development and testing, and a REST API with developer documentation. It said it may need to reduce or delay planned activities if it raises less than the amount needed. The offering is a best-efforts sale with no minimum, and the company said it may receive substantially less than its stated target.
Once the flagship product is commercially available, Ja-Lika said it intends to generate revenue primarily through a B2B software licensing model, with tiered monthly and annual license plans, and may explore exclusive licensing, white-label solutions, partnerships, and enterprise API agreements. Those prices and tiers, it said, reflect its current business plan and have not been the subject of executed customer agreements.
