Caribou Reports Narrower Third-Quarter Net Loss, Plans to Halt Vispa-cel and CB-011

The company posted $1.6 million in licensing and other third-party revenue and a $26.6 million GAAP net loss, or $0.25 a share, in the three months ended September 30, 2026. It does not intend to provide further updates on strategic alternatives unless and until the board approves a course of action, the review concludes, or disclosure is otherwise determined to be appropriate or required.

Caribou Biosciences, Inc. (CRBU), a clinical-stage CRISPR genome-editing biopharmaceutical company, reported licensing and other third-party revenue of $1.6 million and a GAAP net loss of $26.6 million, or $0.25 a share, basic and diluted, for the three months ended September 30, 2026, compared with $27.5 million, or $0.30 a share, a year earlier.

On October 6, 2026, the company said its board had approved a restructuring of operations as it explores strategic alternatives to maximize stockholder value, which may include a merger, acquisition, business combination, or other transactions involving the company and/or its assets, including dissolution and liquidation. The restructuring includes planned discontinuation of clinical trials and further development of vispacabtagene regedleucel (vispa-cel) and CB-011, a substantial workforce reduction, and other cost-reduction measures. The board cited the current financing environment for allogeneic CAR-T cell therapies, which it said has made it increasingly challenging to secure the capital necessary to responsibly advance those programs.

Licensing and other third-party revenue was $1.6 million in the quarter, compared with $2.2 million a year earlier. Research and development expenses were $21.3 million, and general and administrative expenses were $7.9 million. Loss from operations was $27.6 million.

Cash, cash equivalents, and marketable securities were $94.8 million as of September 30, 2026, compared with $142.8 million as of December 31, 2025. Total assets were $123.0 million.

Caribou has not set a timeline for the review of strategic alternatives and does not intend to provide further updates unless and until the board has approved a course of action, the review is concluded, or disclosure is otherwise determined to be appropriate or required.

Vispa-cel, formerly CB-010, is an allogeneic anti-CD19 CAR-T cell therapy evaluated in relapsed or refractory B cell non-Hodgkin lymphoma. The company said it is pivotal-trial-ready, with FDA alignment already reached on the phase 3 design, and that it holds RMAT, Fast Track, and Orphan Drug designations for B-NHL. CB-011 is an allogeneic anti-BCMA CAR-T cell therapy evaluated in relapsed or refractory multiple myeloma and also holds RMAT, Fast Track, and Orphan Drug designations for that indication.

In the second-quarter update, the company had presented ANTLER phase 1 data at EHA 2026 for vispa-cel in second-line large B cell lymphoma, including an 82% overall response rate and a 67% complete response rate in a 27-patient optimized-dose subgroup, and CaMMouflage dose-escalation data for CB-011 showing a 92% overall response rate and an 83% complete or stringent complete response rate in 12 BCMA-naïve patients at the recommended dose for expansion. It had also said it had reached FDA alignment on the planned ANTLER-3 pivotal trial, expected to enroll about 250 CD19-naïve second-line large B cell lymphoma patients.

The October 6 announcement reversed that development path. Prior to the announcement, the company described itself as a clinical-stage CRISPR genome-editing biopharmaceutical company dedicated to developing therapies for patients with devastating diseases. The board’s restructuring includes plans to discontinue those two allogeneic CAR-T programs rather than advance them toward pivotal studies.

The company said it does not intend to provide further updates on the alternatives process unless and until the board approves a course of action, the review concludes, or disclosure is otherwise determined to be appropriate or required. Cash of $94.8 million at September 30, 2026, sits against that open-ended search and the planned workforce and cost reductions.
