Ovintiv Restores Profit After First-Quarter Ceiling Impairment

Third-quarter net earnings were $549 million, or $1.99 a share, as Non-GAAP free cash flow reached $680 million and the company agreed to buy Logan Energy for about $890 million.

Ovintiv Inc. (OVV), the oil and natural gas producer, reported third-quarter net earnings of $549 million, or $1.99 a share diluted, after a first-quarter net loss of $630 million, or $2.35 a share, that included $1.2 billion of after-tax ceiling-test impairments.

The company said it generated cash from operating activities of $1.1 billion, Non-GAAP Cash Flow of about $1.2 billion and Non-GAAP Free Cash Flow of $680 million after capital expenditures of $563 million. Capital spending sat below the midpoint of the $550 million to $600 million guidance range. President and CEO Brendan McCracken said the company was on track to achieve record annual free cash flow.

Average total production was 631 thousand barrels of oil equivalent per day, including 204 thousand barrels per day of oil and condensate, 83 thousand barrels per day of other NGLs (C2 to C4) and 2,062 million cubic feet per day of natural gas. Those volumes followed 615 MBOE/d in the second quarter after a sequential decline from 679 MBOE/d in the first quarter. Oil and condensate volumes were 204 thousand barrels a day. Natural gas volumes were 2,062 million cubic feet a day.

Including hedges, the average realized price was $37.56 per barrel of oil equivalent, with oil and condensate at $80.69 a barrel, or 94% of WTI, other NGLs at $20.26 a barrel and natural gas at $2.70 per Mcf, or 92% of NYMEX. Excluding hedges, oil and condensate was $84.89 a barrel, or 99% of WTI, and the total realized price was $38.10 per BOE. The company recognized net gains on risk management in revenues of $27 million before tax. Upstream operating expense was $3.43 per BOE, upstream transportation and processing costs were $8.12 per BOE, and production, mineral and other taxes were $1.03 per BOE, or 2.7% of upstream product revenue.

Permian production averaged 235 MBOE/d, 77% liquids, with 31 net wells turned in line. Montney production averaged 395 MBOE/d, 27% liquids, with 28 net wells turned in line. Full-year 2026 capital is expected at about $1.375 billion to $1.425 billion in the Permian and $825 million to $875 million in the Montney.

Ovintiv announced an agreement to acquire Logan Energy Corp. for C$1.40 a share in cash, a total transaction value of approximately $890 million (C$1.26 billion) including assumption of Net Debt. It also completed $457 million of ground-game acreage acquisitions, adding about 120 net well locations in the Montney and about 120 in the Permian at $1.3 million to $1.7 million per 10,000-foot equivalent location. McCracken said the company had enhanced drilling inventory in both basins at a low cost per undeveloped location.

Net Debt was $3.4 billion as of September 30, 2026, with Net Debt to Adjusted EBITDA of 0.7 times, versus $2.995 billion and 0.6 times as of June 30, 2026. Total liquidity was about $3.8 billion, including $3.5 billion of available credit facilities, $141 million of uncommitted demand lines and $176 million of cash. During the quarter the company repurchased about $109 million in principal of senior notes.

Third-quarter shareholder returns totaled about $467 million, or about 69% of Non-GAAP Free Cash Flow, via $386 million of buybacks (6.3 million shares) and $81 million of dividends. Year-to-date returns were about $1.1 billion, or about 53% of Non-GAAP Free Cash Flow. Ovintiv expects full-year 2026 shareholder returns to exceed 60% of Non-GAAP Free Cash Flow. The board declared a quarterly dividend of $0.30 a share payable December 31, 2026.

The company maintained full-year 2026 guidance other than a modest increase to expected NGL volumes: total production of 630 to 645 MBOE/d, oil and condensate of 210 to 212 thousand barrels a day, NGLs of 85 to 87 thousand barrels a day, natural gas of 2,025 to 2,075 million cubic feet a day and capital of $2,250 million to $2,350 million. Fourth-quarter production is guided at 615 to 640 MBOE/d and capital at $550 million to $600 million, assuming a Montney midstream outage persists. Ovintiv said it generated approximately 6% oil and condensate production per share growth over the last six months and is on pace for 8% to 9% per share growth by year end, after revising full-year 2026 guidance in the second quarter to 4% production per share growth for the same capital.

Fourth-quarter Permian oil and condensate is expected at 125 to 130 thousand barrels a day and natural gas at 300 to 320 million cubic feet a day. Montney oil and condensate is expected at 75 to 80 thousand barrels a day and natural gas at 1.7 to 1.8 billion cubic feet a day, reflecting higher royalties and the extended midstream outage.
