Ovintiv to Buy Logan Energy in $890 Million Cash Deal

The all-cash bolt-on is expected to be immediately and long-term accretive and to generate about $60 million of annual cost synergies.

Ovintiv Inc. (OVV) agreed to acquire Logan Energy Corp. in an all-cash transaction valued at approximately $890 million (C$1.26 billion), including the assumption of net debt.

The Canadian oil producer will be bought at C$1.40 a share in cash. The company said the deal is expected to close early in the first quarter of 2027, subject to Logan shareholder, court and regulatory approvals and other customary closing conditions.

Ovintiv framed the purchase as a bolt-on that adds high-margin Montney oil and condensate production, infrastructure, and drilling inventory. The company said the transaction is expected to be immediately and long-term accretive and is expected to generate approximately $60 million of annual cost synergies.

"This bolt-on transaction delivers value for our shareholders by adding high margin oil and condensate production and infrastructure, utilizing our operational advantage to drive significant synergies, and adding to our already deep drilling inventory and future growth optionality," said Ovintiv President and CEO Brendan McCracken.

The consideration is entirely cash, with no equity component disclosed. Ovintiv said it will assume Logan’s net debt as part of the approximately $890 million enterprise value.

The company said the added Montney oil and condensate volumes sit alongside existing infrastructure and a drilling inventory it described as already deep. McCracken’s remarks tied the synergies to Ovintiv’s operational advantage rather than to a separate integration program.

Closing remains conditional on Logan shareholder approval, court approval, regulatory clearance, and other customary conditions. Ovintiv said it expects those steps to be completed early in the first quarter of 2027.
