CNP Assurances Group to Buy Prudential's Brazil and Mexico Units

The planned purchase of Prudential of Brazil and Prudential of Mexico advances the insurer's exit from emerging markets and a shift of capital toward businesses and markets where Prudential sees the greatest opportunity for long-term growth.

CNP Assurances Group agreed to buy Prudential of Brazil and Prudential of Mexico for an aggregate cash purchase price of $4.025 billion, subject to certain closing adjustments. The transaction is expected to close in the second half of 2027, subject to customary closing conditions, including receipt of regulatory approvals.

The deal is framed as a step in Prudential Financial, Inc.'s retreat from emerging markets and a reallocation of capital toward businesses the company said offer the greatest opportunity for long-term growth.

“We’re continuing to build momentum and advance our strategy to direct capital to the businesses and markets where we see the greatest opportunity for long-term growth and value creation,” said Andy Sullivan, chairman and chief executive officer, Prudential Financial, Inc.

Prudential has already completed comparable emerging-market exits, naming PT PFI Mega Life Insurance in Indonesia, Alexforbes in South Africa, and ICEA LION in Kenya as prior transactions in the same pattern. The Brazil and Mexico sales would extend that sequence rather than reverse it, with Prudential intending to use the proceeds to support its capital allocation priorities and invest in its highest-priority growth opportunities.

Closing is not immediate: the second-half 2027 date is subject to customary closing conditions, including receipt of regulatory approvals, so the transfer of the books and the cash proceeds remain several quarters away.

For Prudential, the stated purpose is capital allocation. Sullivan's comment ties the sale to a broader strategy of concentrating resources where the company sees long-term value creation, the same language it used around the Indonesia, South Africa, and Kenya disposals.

CNP Seguradora, CNP Assurances' Brazilian subsidiary, will acquire the Brazilian business, and CNP Assurances Holding will acquire the Mexican business. The aggregate cash purchase price of $4.025 billion is subject to certain closing adjustments. Additional deal terms were not disclosed.

The expected close in the second half of 2027, once regulatory approvals arrive, is the next dated milestone. Until then the Brazil and Mexico businesses remain under Prudential's ownership, and the cash proceeds have not yet been received.
