Isabella Bank Completes Grand River Commerce Merger

The mixed cash-and-stock deal, valued at about $54.6 million, closed Nov. 2, 2026, after regulatory approvals and a September shareholder vote.

Isabella Bank Corporation (ISBA) completed its previously announced acquisition of Grand River Commerce, Inc. (GNRV), effective November 2, 2026.

The combined company has approximately $2.7 billion in total assets, $2.0 billion in loans and $2.3 billion in total deposits, based on financial information as of June 30, 2026. The transaction, first announced June 12, 2026, was valued at approximately $54.6 million.

Grand River stockholders were entitled to elect to receive either $5.71 in cash or 0.1413 shares of Isabella common stock for each share of Grand River common stock, with cash in lieu of fractional shares based on a price of $38.90 a share. Under the merger agreement, 35% of outstanding Grand River shares were to be exchanged for cash and 65% for Isabella stock. Holders of 5,445,895 shares, or 59.61%, elected cash; holders of 3,690,634 shares, or 40.39%, elected stock, made no valid election or expressed no preference. Valid cash electors received $5.71 a share for approximately 41.280815% of the shares they held and 0.1413 Isabella shares for the balance.

Merger Sub merged with and into Grand River, with Grand River surviving, then merged with and into Isabella, which continued as the surviving entity. Isabella, the parent of a Michigan state-chartered community bank headquartered in Mt. Pleasant, said the acquisition extends its footprint into Kent County and the Grand Rapids market and brings Isabella Wealth Services to those markets. Grand River, parent of Grand River Bank in Grandville, had about $511.7 million in assets, $437.9 million in loans and $438.9 million in deposits as of March 31, 2026.

Isabella Bank now has 33 locations throughout nine Michigan counties, including Kent, offering personal and commercial lending and deposit products as well as investment, trust and estate planning. Grand River Bank, opened in April 2009, served West Michigan including Grand Rapids and surrounding Kent and Ottawa counties through two full-service branches and courier service for commercial customers.

“This strategic partnership will accelerate our growth in this vibrant Grand Rapids market,” said Jerome E. Schwind, president and chief executive officer of Isabella Bank Corporation, “and harnesses the strengths of two community banks dedicated to relationship-based banking and community engagement. We are thrilled to welcome our new customers and team to Isabella Bank and look forward to working together to provide expanded products, services, and resources.”

Chairman, President and CEO Robert P. Bilotti said the partnership reflects the values Grand River built in those communities and positions customers, employees and communities to benefit from enhanced capabilities.
