Vistra raised common dividend and set preferred payouts

The electricity company scheduled payments into January as its Series B preferred stock approached its first rate-reset date.

The retail electricity and power generation company Vistra Corp (VST) declared a quarterly common dividend of 23.1 cents a share on Oct. 29, extending a sequence of small increases and setting an estimated $75 million payout for the quarter, the company said. Its board also declared semiannual dividends on its Series B and Series C preferred stock, with payments scheduled for December and January.

The common dividend followed the 23.0 cents a share declared in July for payment in September. Vistra had paid 22.9 cents a share for the second quarter, compared with 22.5 cents a year earlier. The latest increase therefore continued the progression in the common payout through the year, adding one-tenth of a cent a share to the preceding declaration.

Common stockholders of record on Dec. 22 were scheduled to receive the new dividend on Dec. 31, the company said. Vistra also set Dec. 22 as the ex-dividend date. The company identified operating results, financial condition, liquidity and contractual limitations, including cumulative preferred-dividend requirements, among the factors governing common dividends.

The preferred declarations extended the payment calendar beyond the common dividend’s year-end distribution. Vistra set the Series B payment at $35.00 a share, equivalent to an annualized $70.00 a share, and scheduled it for Dec. 15. That matched the semiannual amount the company had declared in April for payment in June, maintaining the payment amount ahead of a contractual change in the security’s rate terms.

The December payment date also coincided with Series B’s earliest ordinary redemption date and the date its dividend rate was scheduled to become floating. The company listed the series’ contractual rate at 7.0%, with the subsequent rate tied to the five-year U.S. Treasury rate, subject to a 1.26% floor, plus 5.74 percentage points. Those terms placed a rate-setting milestone on the same date as the newly declared distribution.

Series C had a later reset timetable. Its declared semiannual dividend equated to an annualized $88.75 a share and was payable Jan. 15, 2027, to holders of record on Jan. 1, the company said. The series carried an 8.875% contractual rate, with its earliest ordinary redemption and rate-reset dates scheduled for Jan. 15, 2029. Both preferred series paid dividends semiannually in arrears when declared by the board.

The first scheduled step in the announced payment calendar was the Dec. 1 record date for Series B holders, ahead of their Dec. 15 distribution and the security’s scheduled rate reset.
