Aupenheim Holdings Plans OTCQB Quotation After China Reorg

The Delaware holding company plans a primary offering to fund expansion of its Qingdao-based conference coordination business.

Aupenheim Holdings Inc. is registering a self-underwritten primary offering of common stock and intends to apply for quotation on the OTCQB Venture Market after the prospectus becomes effective, with no public trading market for the shares yet. The company said it will offer the shares over 365 days from the effective date, extendable by another 90 days at the board’s discretion, and that there is no minimum number of shares that must be sold for the offering to proceed.

The Delaware holding company conducts its operations through Guanghui Century (Shandong) Enterprise Management Co., Ltd., a PRC subsidiary incorporated in 2018 that provides end-to-end conference, training and seminar coordination to corporate and institutional clients. Aupenheim described itself as an “asset-light, pure-service-fee” coordinator: it designs programs, sources venues and vendors, manages on-site execution and post-event deliverables, but does not purchase, own or lease event assets or advance payments to third-party vendors. All vendor contracts, invoices and collections run directly between the vendor and the client, and Aupenheim said its revenue comes exclusively from per-event coordination and planning fees, recognized when an event is completed.

In 2026 the founders built an offshore chain—Oppenheim Holdings Limited in the British Virgin Islands, Aupenheim in Delaware, Aupenheim Holdings Limited in Hong Kong and a wholly foreign-owned enterprise in Guangzhou—that acquired Guanghui for a nominal cash consideration, creating the current holding-company structure. Aupenheim said it does not use a variable interest entity and that its ability to pay dividends or service debt depends on distributions from the PRC subsidiaries, which are subject to PRC profit, reserve and foreign-exchange rules. It also said it believes the proposed OTCQB quotation is not currently subject to CSRC overseas-listing filing requirements, while a future listing on a national exchange would be.

The company said it intends to use net proceeds for business expansion and marketing, professional staff recruitment, SEC reporting and compliance, technology and infrastructure, and a general working-capital reserve, with management retaining broad discretion over timing and amounts. Its stated strategy is to broaden a client base that it said is concentrated among a small number of accounts, deepen existing relationships, expand beyond Shandong Province, and invest in training, standardized processes and digital tools. It also flagged that it may require additional capital, that PRC policies restricting meeting spending could reduce demand, that it has a limited operating history, and that one individual serves as both principal executive officer and principal financial officer with no independent directors or audit committee.
