LIS Technologies Targets Nasdaq After Uranium Enrichment S-1
The Oak Ridge firm plans a firm-commitment common-stock sale to fund research on enrichment products, site work at LIST Island and other stated uses.
LIS Technologies Inc. is preparing a firm-commitment sale of common stock and has applied to list the shares on Nasdaq under the proposed symbol “LIS,” saying it will not proceed if the listing is not approved. The Nevada company, headquartered in Oak Ridge, Tennessee, is offering common stock on a firm-commitment basis, with an over-allotment option available to the underwriters, against a pre-offering share base already in place.
The company describes its work as uranium enrichment products and technology, including laser and separator systems, and says it will use net proceeds for research and development of those products, site characterization and preparation at the LIST Island site, test work and integration, and scoping studies on transportation logistics and potential noise impacts. It also said the money would go to marketing, business development, working capital, regulatory compliance, intellectual property protection, employee hires, and contractor retainment.
Uranium enrichment is subject to licensing and oversight by the NRC, Tennessee, environmental permitting, safeguards, physical security, and export controls, the company said. It flagged that regulatory approvals may take longer than planned, that a cybersecurity incident or physical security breach could disrupt operations, and that export controls may limit collaboration, recruiting, and international work. Joint development with vendors or partners, it said, may create uncertainty over ownership, licensing rights, or commercialization pathways.
Chief Executive Officer and Chairman Jay Jiang Yu has a significant influence over the company through ownership of a material percentage of outstanding common stock, the prospectus said. LIS Technologies also said it is highly dependent on senior management and skilled personnel, that no active trading market currently exists for its common stock, and that it qualifies as an emerging growth company and a smaller reporting company.
