DoorDash to Buy Instacart in $17 Billion Mixed Deal

DoorDash said combined scale and complementary technologies would support a multi-year path to $500 million or more of annual synergies, net of investments.

DoorDash, Inc. (DASH) agreed to acquire Maplebear Inc. ("Instacart") in a mixed-consideration transaction valued at an equity value of approximately $17 billion, paying $65.00 for each Instacart share.

The price represented a 26% premium to Instacart’s closing price on October 22, 2026, the last trading day before media reports about a possible transaction.

The local-commerce platform said that together with Instacart, combined scale and complementary technologies would enable it to build next-generation tools and services that empower local merchants, give consumers more choice, and create more opportunity for Dashers and Shoppers, including a multi-year path to $500 million or more of annual synergies, net of investments.

The deal is expected to close at the end of 2027 or in the first half of 2028, subject to approval by Instacart stockholders, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, other regulatory approvals, including in Canada and Israel, and other customary closing conditions.

DoorDash has been expanding its grocery and retail footprint alongside its restaurant-delivery core. In the second quarter of 2026, Total Orders increased 27% year-over-year to 970 million, Marketplace GOV increased 36% year-over-year to $33.1 billion, and revenue increased 36% year-over-year to $4.5 billion. In the first quarter of 2026, the company said it began putting new features into production as part of a transition to a single global technology platform and took steps to streamline global operations. Those platform and grocery investments sit alongside the Instacart combination the company now describes as a path to next-generation merchant, consumer, and delivery-worker tools.

The $65.00-a-share mixed consideration and the $17 billion equity value frame the transaction as a large-scale consolidation of grocery and retail delivery rather than a bolt-on. Closing conditions still include Hart-Scott-Rodino clearance, stockholder approval, and additional regulatory sign-off in Canada and Israel, with completion expected no earlier than the end of 2027.
