DoorDash to Buy Instacart in $17 Billion Mixed Deal

The local commerce platform will pay $65.00 a share, a 26% premium to Instacart’s Oct. 22 close, to fold grocery fulfillment into its delivery network.

DoorDash, Inc. (DASH), a leading local commerce platform, agreed to acquire Maplebear Inc. (d.b.a. Instacart) for $65.00 for each Instacart share, a mixed-consideration transaction with an equity value of approximately $17 billion.

The price represented a 26% premium to Instacart’s closing price on October 22, 2026. Closing is expected at the end of 2027 or in the first half of 2028, subject to Instacart stockholder approval, expiration or termination of the Hart-Scott-Rodino waiting period, other regulatory approvals including in Canada and Israel, and other customary conditions.

The combined company will offer grocers and retailers of every size DoorDash’s delivery network and Instacart’s grocery and fulfillment technology, in both apps and on stores’ own websites, along with the advertising and AI tools each company has built.

“Grocery is one of the hardest things to get right online. Someone has to pick a ripe avocado, find a substitute you’d choose yourself, and get the ice cream to you before it melts,” said Tony Xu, co-founder and CEO of DoorDash. “Instacart has spent years learning to do that well for grocers, while DoorDash has built a delivery network and technology that local stores rely on every day. Together, we could give stores of every size more of those tools and unlock the potential of grocery delivery. It’s still early innings, but we know that when more people shop local, more dollars stay local.”

The grocery-and-fulfillment combination follows DoorDash’s May 2025 agreement to acquire Deliveroo plc in a recommended cash deal valued at approximately £2.9 billion, which the company said would strengthen its position as a leading global platform in local commerce. That transaction closed on October 2, 2025, after court sanction of a UK scheme of arrangement, with Deliveroo continuing to operate across its key geographies while benefiting from DoorDash’s scale and global reach.

Instacart’s grocery and fulfillment technology, DoorDash’s delivery network, and the advertising and AI tools each company has built are the assets the combined company said it will put in front of grocers and retailers of every size, in both apps and on stores’ own websites. Closing remains subject to Instacart stockholder approval, Hart-Scott-Rodino clearance, other regulatory approvals including in Canada and Israel, and other customary conditions, with completion expected at the end of 2027 or in the first half of 2028.
