Arch Insurance to Buy Premier Dealer Holding Corp. and Its Subsidiaries, Including PDS

The specialty insurer said the deal will pair its underwriting with PDS's administration, technology and dealer relationships in automotive F&I.

Arch Insurance North America agreed to acquire Premier Dealer Holding Corp. and its subsidiaries, including Premier Dealer Services (PDS), in a transaction expected to close by the end of 2026, subject to regulatory approvals and other customary closing conditions.

The company did not disclose a purchase price, cash-versus-stock mix, or exchange ratio.

The acquisition is framed as an extension of a long-standing relationship between Arch Insurance and PDS. Arch said the combination will pair its specialty insurance expertise with PDS’s administration capabilities, technology infrastructure and dealer relationships to strengthen its position in the automotive finance and insurance market.

Matt Shulman, chief executive of Arch Insurance North America, said PDS has built a strong business with an experienced team, differentiated technology and extensive dealer relationships.

“We know the company well. Bringing PDS and Arch together will strengthen our capabilities in the automotive F&I market and create new opportunities to serve our customers and partners,” Shulman said.

Arch Insurance is a specialty insurer within the Arch Capital Group platform, which provides insurance, reinsurance and mortgage insurance worldwide through its subsidiaries. The parent, Arch Capital Group Ltd. (ACGL), reported approximately $26.9 billion in capital as of March 31, 2026. Following completion of the transaction, PDS is expected to operate as a standalone business within Arch Insurance’s Consumer Division.

The deal is subject to regulatory approvals and satisfaction of other customary closing conditions, with completion expected by year-end 2026.
