Francisco Partners Completes $650 Million Weave Take-Private

The all-cash purchase prices the healthcare-communications company at $7.40 a share and positions Weave to accelerate investment in its AI-powered platform.

Francisco Partners completed its acquisition of Weave Communications, Inc. (WEAV) on October 26, 2026, in an all-cash transaction valued at approximately $650 million.

Under the merger agreement, Weave stockholders received $7.40 a share in cash, a premium of approximately 34% to Weave’s unaffected closing stock price on August 17, 2026, the last full trading day before the deal was announced. With completion, Weave’s common stock ceased trading and is no longer listed on the New York Stock Exchange. The company said the transaction positions Weave to accelerate investment in its AI-powered platform for healthcare practices.

The merger was originally signed on August 18, 2026, under an Agreement and Plan of Merger among Weave, Willow Parent, LLC, and Willow Merger Sub, Inc., affiliates of Francisco Partners Management, L.P. Under the structure, Merger Sub merged with and into Weave, with Weave surviving as a wholly owned subsidiary of Parent.

On October 22, 2026, Weave held a special meeting of stockholders to vote on the merger. Of 80,450,446 shares outstanding at the September 14, 2026 record date, 61,212,275 shares were present in person or by proxy, or about 76.1% of shares entitled to vote, constituting a quorum. Stockholders approved the merger agreement with 58,845,446 votes for, 2,324,059 against, and 42,770 abstentions. The adjournment proposal was not put to a vote because a quorum was present and votes were sufficient to adopt the merger.

Ezra Perlman, co-president at Francisco Partners, said: “Weave sits at the center of how tens of thousands of healthcare practices communicate with their patients and collect revenue. We are pleased to officially partner with Brett and the Weave team and see significant opportunity to build on that position through continued product innovation in AI-powered patient engagement and payments solutions.”

Brett White, chief executive officer of Weave, said: “Today marks the start of an exciting new chapter for Weave.” He said more than 40,000 locations rely on the company for automated communication and engagement, and that with Francisco Partners’ support and resources the company is well positioned to deliver more value to the practices it serves.

Ahead of the vote, Weave disclosed two stockholder complaints in New York state court, Johnson v. Weave Communications, Inc. et al. and Clark v. Weave Communications, Inc. et al., each filed September 29, 2026, alleging that the definitive proxy statement was misleading and contained disclosure deficiencies. The complaints sought, among other things, to enjoin the merger until additional information was disclosed. Weave also received 13 demand letters on similar grounds. The company said it believed the claims were without merit and that no additional disclosures were required, but it voluntarily issued supplemental disclosures to avoid the risk of delay to the special meeting or the merger.

Following completion, Weave will continue operations as a privately held company under the Weave name and maintain its headquarters in Lehi, Utah.
