Cencora to Buy American Oncology Network in $2.4 Billion Deal

Cencora said the oncology MSO purchase will expand its physician-led specialty platform and support of care in communities across the country.

Cencora, Inc. (COR) agreed to acquire American Oncology Network, Inc. for an enterprise value of $2.4 billion, consisting of $2.3 billion at closing and contingent value rights of up to $100 million.

The mixed-structure transaction is subject to customary closing conditions, including required regulatory clearances and AON stockholder approvals.

Cencora said the deal will expand its physician-led oncology MSO and support of care in communities across the country, enhancing capabilities for independent practices and fortifying its growth platform.

β€œThe acquisition of AON will expand our physician-led oncology MSO and support of care in communities across the country,” said Robert P. Mauch, President and Chief Executive Officer of Cencora.

Cencora framed the purchase as a step in building a specialty-care platform around independent oncology practices rather than a single-site expansion. The $2.3 billion at closing, plus CVRs that can lift the total to $2.4 billion, is the structure the company disclosed.

Closing remains conditional on the same customary items the company listed: regulatory clearances and AON stockholder votes. Until those conditions are satisfied, the $2.4 billion enterprise value is the agreed figure, not a completed transfer.
