FTC second request extends review of Curium-Lantheus deal
Both parties received requests for more information, extending the antitrust waiting period for Curium US’s acquisition of Lantheus.
Lantheus Holdings, Inc. (NASDAQ: LNTH) and Curium US Holdings LLC received Federal Trade Commission requests for additional information on October 21, 2026, extending the acquisition’s antitrust waiting period, Lantheus said on October 22.
Curium develops, manufactures and supplies radioactive medicines for diagnosing and treating cancer; Lantheus provides diagnostic imaging products for prostate cancer, neurology and cardiac ultrasound. Under their August 3 agreement, Curium US would acquire all outstanding Lantheus shares through a merger, making Lantheus its wholly owned subsidiary.
Lantheus shareholders would receive $102.50 per share in cash at closing, plus non-transferable contingent value rights offering up to $12 per share in additional cash if specified commercial milestones are achieved through 2030.
Lantheus said both parties intend to respond promptly and cooperate with the FTC. The waiting period extends until 30 days after both parties substantially comply with their respective requests, unless the FTC terminates it sooner, leaving the timing dependent on their responses and the continuing review.
