Alternative Ballistics Files S-1 for Less-Lethal Firearm Attachments

The Las Vegas company says it is moving The Alternative and a civilian Home Defense product into early commercialization.

Alternative Ballistics Corporation (ALBC) filed a registration statement for a proposed offering as it said it is transitioning from years of research, product iteration, and third-party ballistics validation into early-stage commercialization of patented less-lethal devices.

The company, headquartered in Las Vegas with operations in San Diego and the United Kingdom, described The Alternative as a patented attachment that fits a standard service firearm and lets a user fire a non-penetrating impact round while keeping immediate access to lethal force. It said the system is meant to deploy in seconds on the duty weapon rather than as a separate platform. The company said it has begun pilot programs with U.S. law enforcement agencies, run demonstrations across several continents, and put in place an international distribution network, with product samples shipped for demonstration, classification, and evaluation.

A second product, The Home Defense, is a consumer-oriented less-lethal system on the same patented platform. The company said it is fully developed, production-ready, and that initial inventory has been manufactured. It said the civilian market may offer a shorter sales cycle than government procurement. The Alternative has received an ATF determination that it is not classified as a firearm, ammunition, or destructive device, and a Commerce Department classification that the company said permits export to most jurisdictions under standard licensing exemptions.

The prospectus lists a limited operating history, a history of operating losses, and a going-concern qualification from the auditor. It said the company expects to require additional financing, that The Alternative has been developed only for certain firearm models, and that it depends on a small number of suppliers and third parties for shipping, logistics, marketing, and sales. Sales cycles, it said, can be long and unpredictable, and the less-lethal market is in rapid technological change.
