Tattvance Corp Files S-1 for AI Tattoo Platform

The development-stage company is seeking capital to finish an AI Tattoo Generator and a planned studio and artist platform.

Tattvance Corporation is a development-stage technology company building a digital platform for the global tattoo industry, and it has filed a registration statement for a proposed offering of common stock.

The company said its planned platform is intended to connect tattoo artists, studios and enthusiasts through AI-powered creative tools, tattoo-related content, professional community features and business promotion services. Its initial and principal product under development is an AI Tattoo Generator, which it described as a tool that would let users describe a tattoo idea and select style, theme, placement and other parameters to generate visual concepts. For artists, the company said the product is intended to support design exploration and client communication; for studios, it plans promotional and outreach tools; for enthusiasts, it intends to help visualize ideas before contacting an artist.

Tattvance said it has not commenced commercial operations and has not generated revenue from planned products or services. It completed initial website development, which it said covered principal technical and user-interface components, but said that milestone does not represent a commercial launch. The AI Tattoo Generator remains under development and is not currently available for commercial use. Planned content, community, promotional and additional AI services are described as future work, not completed products.

The company said potential revenue sources may include premium AI features, subscriptions, promotional services for artists and studios, advertising or sponsored content, and other technology-enabled services, and that actual products, pricing and the revenue model may differ from current plans. It said there can be no assurance it will complete or commercially launch its products, that they will achieve market acceptance, or that they will generate material revenue.

On the same date it completed initial website work, Edita Vieraitiene sold all common stock she beneficially owned to Lukasz Dziedzic in a private transaction and resigned as president, chief executive officer, chief financial officer, treasurer and secretary. Dziedzic became controlling shareholder and was appointed to those officer roles and as an additional director; Vieraitiene remains a director. The company said it was not a party to the sale and received no proceeds, and that shares outstanding were unchanged.

Tattvance said it intends to use net proceeds primarily for development of its AI-powered tattoo technology and digital platform, including product development, technology and infrastructure, testing and integration, marketing and business development, general and administrative expenses and working capital. If fewer than all of the shares offered are sold, it said it will receive less capital and may need to reduce, delay or modify planned activities.
