Valaris Ltd (VAL) says DOJ closed Transocean deal probe
The companies received notice on September 30 that the U.S. antitrust investigation had closed, with conditions to completing the acquisition remaining.
Valaris Ltd (VAL) said it and Transocean Ltd. received notification on September 30, 2026, that the U.S. Department of Justice’s Antitrust Division had closed its investigation into their proposed combination. Valaris also said the waiting period under the Hart-Scott-Rodino Act had expired.
The investigation concerned Transocean’s proposed acquisition of all outstanding Valaris common shares under an agreement signed February 9, 2026, Valaris said. The agreement provides for shareholders to receive 15.235 Transocean shares for each Valaris share.
Completion remains subject to satisfaction or waiver of the agreement’s remaining closing conditions, Valaris said.
