Quantum Computing to Buy NHanced Semiconductors in $73.1 Million Mixed Deal
The acquisition launches QCi's second fabrication facility years ahead of schedule, adding advanced packaging and photonic integration capacity to the company's commercialization roadmap.
Quantum Computing Inc. (QUBT) completed its acquisition of NHanced Semiconductors, Inc. for a combination of cash and QCi stock valued at $73.1 million, subject to customary adjustments, with up to an additional $72.0 million tied to performance targets. The deal launches Fab 2, significantly expanding QCi's advanced packaging, semiconductor manufacturing and photonic integration capabilities while broadening the customer base served by those capabilities.
The transaction moves QCi further along a path from research-driven prototyping toward scalable commercial production, adding semiconductor and nanophotonics fabrication capabilities, advanced packaging expertise and specialized engineering talent to the company's operations. Rosenblatt served as financial advisor and Wilson Sonsini Goodrich & Rosati as legal counsel to QCi; Needham & Company advised NHanced, with Taft Stettinius & Hollister serving as its legal counsel.

"Last year, we successfully completed and operationalized Fab 1, a pioneering, small-scale manufacturing facility in Tempe, Arizona. Today, we are delivering on our commitment to launch Fab 2 and expand our manufacturing capabilities and capacity years ahead of our original timeline".
NHanced is a U.S.-based advanced packaging foundry specializing in integration, hybrid bonding, chiplet architectures, silicon interposers and photonics device integration. Its expertise complements QCi's photonic and quantum portfolio, creating opportunities to scale next-generation quantum and photonics solutions enabled by 2.5D/3D heterogeneous integration and the scale-up of QCi's thin-film lithium niobate (TFLN)-on-silicon photonics technologies. The company will operate as a wholly owned subsidiary of QCi, continuing to serve its existing customers and partners while pursuing new growth opportunities.
The deal extends a run of consolidation at QCi, which acquired Luminar Semiconductor, Inc. from Luminar Technologies, Inc. (LAZR) for $110 million in an all-cash transaction that closed in February, adding lasers, detectors, advanced packaging and manufacturing capabilities to the company's photonics platform. QCi also closed a $5 million acquisition of quantum communications firm NuCrypt, LLC in the first quarter, underscoring a broader industry push toward vertically integrated manufacturing that has also drawn strategic buyers such as Onto Innovation Inc. (ONTO), which agreed in mid-2025 to acquire Semilab International's materials analysis business for roughly $545 million to build out advanced packaging and compound semiconductor testing capacity.
QCi expects the NHanced transaction to strengthen domestic manufacturing capabilities, bolster supply-chain resilience and support development of advanced photonic chips for quantum computing, artificial intelligence, networking, secure communications and defense applications. The acquisition bridges the gap between quantum innovation and scalable semiconductor products, a step central to bringing next-generation photonics and quantum solutions to market more efficiently.
