Ondas to Buy Cyberhawk in $125 Million Mostly Cash Deal
The acquisition would extend Ondas from autonomous data collection into software-enabled inspection and AI-driven infrastructure intelligence.
Ondas Inc. (ONDS) agreed to acquire Cyberhawk in a transaction valued at about $125 million, expanding the autonomous-systems company into critical-infrastructure intelligence. About 95% of the purchase price would be funded with cash, giving Ondas a global inspection business alongside an enterprise software and analytics platform.
Certain members of Cyberhawk’s leadership team elected to roll about $5 million of their proceeds into Ondas common stock, subject to a one-year lockup with specified exceptions. The companies expected the transaction to close in the third quarter of 2026, pending regulatory approvals and customary closing conditions.
The acquisition would add Cyberhawk’s software-enabled inspection platform, AI-driven analytics and global customer relationships to its autonomous systems, sensing and mission-automation capabilities. The combination is intended to create an integrated workflow spanning autonomous data collection, digital-twin visualization, asset intelligence and operational decision support for utility, energy and industrial customers.
“The addition of Cyberhawk accelerates the development of Ondas' growth platform across high value critical infrastructure and industrial markets that are now growing rapidly, driven by technology and regulatory advancements,” Chairman and Chief Executive Eric Brock said.
Founded in 2008, Cyberhawk provides drone-based inspections, visual-data management and AI-enabled analytics across 40 countries. Its cloud-based iHawk platform helps customers manage aerial data, track infrastructure assets and analyze defects through digital-twin and geospatial workflows. Cyberhawk has inspected more than 500,000 assets and accumulated over 232 terabytes of proprietary inspection data, while its customers include PG&E, Southern California Edison, Shell, SSE, ESB, Qatar Energy and Bechtel.
The acquisition followed Ondas’s purchase of a controlling interest in Insight Intelligent Sensors, an Israeli developer of AI-powered electro-optical systems, in October 2025. That transaction added real-time detection and tracking technology for defense, infrastructure protection and environmental applications. Together, the deals reflect Ondas’s effort to assemble sensing, autonomy and analytics capabilities across government and commercial markets.
Cyberhawk was expected to generate more than $45 million of revenue in its fiscal year ending March 2027, with about 95% recurring revenue from multi-year contracts and software subscriptions. It also carried a $95 million backlog across utility, renewable-energy and energy-infrastructure markets. Ondas expected Cyberhawk’s high-single-digit earnings before interest, taxes, depreciation and amortization margin to rise above 25% by 2030, while the combination creates opportunities to deploy autonomous monitoring and AI-enabled analysis across Cyberhawk’s installed customer base. Completion remains subject to regulatory approvals and other customary conditions.
