Nuvei to Acquire Payoneer in $2.75 Billion Cash Deal

The acquisition combines Nuvei's payment acceptance with Payoneer's cross-border payouts to create a global financial infrastructure leader.

Neon Maple Parent Inc., known as Nuvei, agreed to acquire Payoneer Global Inc. (PAYO) in an all-cash transaction valued at approximately $2.75 billion.

Under the terms of the agreement, Nuvei will pay $7.40 per share in cash to acquire all issued and outstanding shares of Payoneer common stock. The transaction is expected to close in mid-2027.

The deal is intended to combine complementary platforms to create a financial infrastructure leader capable of powering global commerce at scale. The combined entity is expected to generate approximately $3 billion in annual revenue and process more than $500 billion in annual payment volume for over 2.4 million customers.

β€œThe transaction validates the strength of the business our team has built and by combining our complementary platforms, we will create a financial infrastructure leader that powers global commerce at scale,” Payoneer Chief Executive Officer John Caplan said.

Payoneer provides a financial stack for small and medium-sized businesses to transact and grow internationally. The company reported second-quarter 2026 revenue excluding interest income of $222.2 million, a 10% increase year-over-year. Its B2B volume grew 48% year-over-year to $4.3 billion, reflecting momentum in acquiring larger customers in China and EMEA.

The deal follows a trend of consolidation among commerce solution providers to expand geographic reach and product capabilities. In January 2026, Global Payments Inc. (GPN) completed its acquisition of Worldpay from FIS and GTCR to transform into a pure-play commerce solutions provider.

The transaction has already received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act. The deal remains subject to the approval of Payoneer stockholders and other customary closing conditions. In connection with the pending acquisition, Payoneer suspended its share repurchase program during the second quarter of 2026.
