Howard Hughes Posts Loss After Vantage's First Full Quarter

Vantage earned $315.8 million of premiums and $76.6 million of pre-tax income as Howard Hughes swung to a $1.1 million net loss.

Howard Hughes Holdings Inc. (HHH) reported a net loss attributable to common stockholders of $1.1 million in the third quarter of 2026, compared with net income of $119.5 million a year earlier, as the newly acquired insurance platform posted its first full quarter in the company.

The diversified holding company said Vantage contributed $315.8 million of net earned insurance premiums and $76.6 million of income before income taxes, including the impact of purchase accounting. In the June 4–30 stub period after the $2.1 billion acquisition closed, Vantage had contributed $97.2 million of premiums and a $20.8 million loss before income taxes.

Reported underwriting results included a $5.7 million loss and a 101.8% combined ratio, comprising a 63.5% loss ratio and a 38.3% expense ratio. The company said those results included purchase accounting; without those adjustments, underwriting income was $16.1 million and the combined ratio was 94.9%. Losses included no catastrophe losses and $4.0 million of favorable prior-year development, but were affected by a single current large loss in a specialty line and purchase-accounting adjustments.

The investment portfolio delivered $22.7 million of net insurance investment income and $50.9 million of net investment gains, which the company said represented a transition of the portfolio to common equities and U.S. treasuries. The AdVantage insurance-linked securities structure contributed $13.0 million of net fee income from recent property catastrophe business.

Total revenues were $636.3 million, up from $390.2 million a year earlier, as net earned insurance premiums of $315.8 million and net insurance investment income of $22.7 million entered the mix. Operating income was $157.0 million, versus $189.6 million a year earlier. Below the operating line, a $105.4 million GAAP loss on the sale of Municipal Utility District receivables and $7.5 million of equity losses from unconsolidated ventures were among the items that weighed on pretax income of $1.1 million.

Howard Hughes Communities delivered Master Planned Communities earnings before taxes of $89.5 million, down $115.5 million from $205.0 million in the year-ago quarter. The company said the decline was primarily due to a bulk sale of 231 acres in Summerlin in the third quarter of 2025 and a $19.4 million loss associated with consolidation of the Floreo joint venture. MPC EBT also declined sequentially from $134.7 million in the second quarter.

In the quarter, MPC closed 101.0 acres at an average price of $1.321 million per acre, with residential land sales of $133.5 million, versus 348.9 acres at $786,000 per acre and $274.3 million of residential sales a year earlier. Pricing remained strong in the first nine months of 2026, the company said, with 307.7 residential acres sold at an average of $1.2 million per acre and 9.8 commercial acres at $0.9 million per acre.

Total Operating Assets NOI, including contributions from unconsolidated ventures, increased $5.1 million, or 8%, to $73.0 million from $67.9 million a year earlier. Same-store NOI grew 9% in the quarter versus the prior year and 7% on a trailing-twelve-months basis. Operating Assets segment EBT was a $9.1 million loss, versus a $7.2 million loss a year earlier; segment operating income was $73.1 million. Strategic Developments segment EBT was $17.8 million, versus $11.3 million a year earlier.

Howard Hughes Communities closed two sales of MUD receivables associated with Bridgeland and The Woodlands Hills that generated $177.6 million of net cash proceeds and a $105.4 million GAAP loss. The company announced an intention to transition its real estate model to an asset-light development and asset-management platform by monetizing select assets through sales and joint ventures.

Cash and cash equivalents were $2.87 billion at September 30, 2026, compared with $1.47 billion at year-end 2025. Series A non-voting exchangeable perpetual preferred stock issued to an affiliate of Pershing Square in June stood at $995.7 million of mezzanine equity.
