TIC Solutions Raises 2026 Revenue Outlook After Combined Growth

Third-quarter revenue reached a record $639.6 million as combined growth accelerated to 12.5% and the company lifted full-year revenue to $2,240 million to $2,270 million.

TIC Solutions, Inc. (TIC), a provider of tech-enabled asset integrity, engineering, and geospatial services, reported record third-quarter revenue of $639.6 million, up 35% from $473.9 million a year earlier, primarily reflecting the inclusion of NV5 Global after the August 2025 acquisition.

On a combined NV5 basis, revenue grew 12.5% year over year, including 8.4% organic growth. That pace accelerated from 3.3% combined growth, or 2.5% organic, in the second quarter, after 4.3% combined growth in the first quarter. Sequential revenue rose from $584.3 million in the second quarter.

Chief Executive Officer Ben Heraud said revenue increased across all three reportable segments and that the results reflected progress on winning in essential end markets, expanding the company’s role across the asset lifecycle, and improving profitability as it scales. Segment revenue in the quarter was $318.2 million for Inspection & Mitigation, $223.2 million for Consulting & Engineering, and $98.3 million for Geospatial.

Adjusted EBITDA was $107.2 million, up 39% from $77.3 million a year earlier, primarily reflecting NV5. On a combined basis, Adjusted EBITDA grew 19% and Adjusted EBITDA margin expanded about 90 basis points to 16.8%. Sequential Adjusted EBITDA rose from $94.8 million in the second quarter.

The company reported a net loss of $11.1 million, or a diluted loss of $0.05 a share, compared with a net loss of $13.9 million a year earlier. Adjusted diluted EPS was $0.18. Adjusted gross margin was 38.0%. Consulting & Engineering adjusted gross margin was 47.4% and Geospatial 44.9%. Adjusted SG&A was $136.4 million, or 21.3% of revenue.

Combined Consulting & Engineering and Geospatial backlog reached a record $1.29 billion as of September 30, 2026, up 23% year over year, from a record $1.18 billion, up 20% year over year, at the end of the second quarter. Heraud said record backlog provides visibility heading into 2027 and that cross-selling is contributing to organic growth as teams combine inspection, engineering, and geospatial capabilities.

TIC Solutions is updating its full-year 2026 outlook to revenue of $2,240 million to $2,270 million, from the prior $2,150 million to $2,250 million range, and to Adjusted EBITDA of $342 million to $350 million, a narrower band than the prior $330 million to $355 million range. The company had reaffirmed that earlier outlook after the first and second quarters.

Total liquidity was $293.3 million at quarter end, including cash and cash equivalents of $197.9 million plus undrawn capacity on a $125.0 million revolving credit facility, down from $473.5 million at June 30. Total term loan debt was $1.6 billion, net of unamortized debt issuance costs.

Executive Chairman Robert A.E. Franklin said the company will remain focused on converting demand into profitable growth and stronger cash flow, and that it aims to improve cash conversion and reduce net leverage as it pursues 2029 financial objectives.
