Macquarie buys £29.7 million of Intertek shares during offer period

The purchase left Macquarie with a 1.27% interest in Intertek’s ordinary shares.

Macquarie Group Limited bought 500,000 shares in Intertek Group Plc (ITRK), the company at the centre of an offer involving Isotope Bidco Limited, for £29.7 million on November 4. The shares were purchased at £59.40 a share.

Following the dealing, Macquarie owned or controlled 1,960,491 Intertek ordinary shares, representing 1.27% of the relevant securities. It also held a short position through cash-settled derivatives referenced to 251,665 shares, or 0.16%. Macquarie identified itself as both the discloser and the owner or controller of the positions.

The trading took place in the context of an offer involving Intertek and Isotope Bidco. Barclays Capital Securities Limited, an exempt principal trader, previously identified Isotope as a party to the offer with which it was connected. The available evidence does not establish the offer’s terms or whether an agreement has been reached.

Isotope was described as a newly formed company to be indirectly owned by EQT X EUR SCSP and EQT X USD SCSP, together with certain indirect minority shareholders including Luxinva and Mubadala. Both EQT funds act through manager EQT Fund Management S.A.R.L.

Macquarie said it had no indemnity, option or other dealing arrangement of the type specified under the Takeover Code with a party to the offer or a person acting in concert with one. It also reported no agreement concerning voting rights or the future acquisition or disposal of securities referenced by derivatives.

Alongside the share purchase, Macquarie opened a long position through a cash-settled equity basket swap referenced to 500,000 Intertek shares, at £59.40 a share.
