ANI Pharmaceuticals to Offer $560 Million for Egetis

The offer would add an FDA-approved therapy for MCT8 deficiency as ANI pushes its rare-disease transformation.

ANI Pharmaceuticals, Inc. (ANIP) announced a recommended public offer to acquire Egetis Therapeutics AB in a transaction valued at approximately SEK 5.6 billion, or about $560 million, paying SEK 11.25 a share.

The price represents a 27% premium to the 60-day volume-weighted average price. The acceptance period in the offer is expected to commence on or around November 20, 2026 and to expire on or around December 18, 2026.

The company said the acquisition would add an FDA-approved rare disease therapy with significant long-term growth potential, poised to address the unmet need of patients with MCT8 deficiency who have no other approved treatment options.

The deal lands as ANI has been recasting itself around rare disease. In the third quarter, the company said Cortrophin Gel delivered solid growth, driven by momentum from the gout expansion and continued progress in existing specialties, while the Generics business continued to outperform.

President and CEO Nikhil Lalwani said the company also executed on its capital allocation strategy by repurchasing shares and expanding the scope and scale of its Rare Disease business through the offer to acquire Egetis Therapeutics.

Earlier in 2026, ANI reported quarterly net revenues of $237.5 million, up 20.5% year-over-year, and raised 2026 total net revenue guidance to $1.08 billion to $1.14 billion, with Rare Disease expected to represent approximately 60% of total revenue. In the second quarter, quarterly net revenues were $266.0 million, up 25.9% year-over-year, and the company reaffirmed that 2026 revenue range.

The Egetis purchase is the latest step in that rare-disease build. ANI said the MCT8 therapy would sit alongside Cortrophin Gel and other existing specialties as the company continues to expand the Rare Disease franchise.
