TPVG Debt Funding Collapses After a Heavy Second Quarter

Net investment income fell to $0.16 a share and net assets from operations swung to a $0.04 a share decrease as the BDC funded only $0.7 million of new debt.

TriplePoint Venture Growth BDC Corp. (TPVG) funded only $0.7 million of new debt investments in the third quarter ended September 30, 2026, a sharp drop from $47.8 million across 10 portfolio companies in the second quarter, and net investment income fell to $6.6 million, or $0.16 a share, from $8.3 million, or $0.21 a share.

The externally managed business development company, which provides debt, warrants and equity to venture-growth companies, closed $43.0 million of new debt commitments with four new and four existing portfolio companies. Its sponsor, TriplePoint Capital LLC, signed $106.0 million of non-binding term sheets. Funded loans carried an 11.2% weighted average annualized yield at origination.

The pause in funding left the debt book at $665.3 million at cost, down from $722.8 million at June 30. The company held debt investments in 50 portfolio companies, warrants in 120 and equity in 57. Total cost and fair value of those investments were $749.3 million and $717.3 million.

Total investment and other income was $20.2 million, versus $22.7 million a year earlier, with the weighted average annualized portfolio yield on debt investments at 12.4%, down from 12.9% in the second quarter. The company said the year-over-year decline in income was primarily due to lower investment yields in part from a lower Prime rate. Return on average equity based on net investment income was 7.4%.

Net assets resulting from operations swung to a net decrease of $1.7 million, or $0.04 a share, after a net increase of $10.7 million, or $0.26 a share, in the second quarter. A year earlier the company had reported a net increase of $15.2 million, or $0.38 a share. Net investment income a year earlier was $10.3 million, or $0.26 a share; the company said the year-over-year drop was driven primarily by lower total investment and other income and higher interest expense.

Total operating expenses were $13.2 million, including $7.9 million of interest expense and amortization of fees, $3.6 million of base management fees, $0.7 million of Administration Agreement expenses and $1.1 million of general and administrative expenses. There were no income incentive fees in the quarter.

The company recorded net realized losses of $26.4 million, versus $0.7 million a year earlier, primarily from the sale of debt, warrant and equity investments in one portfolio company and a debt write-off in another, partially offset by realized gains on a warrant and on equity in two companies. It sold its investments in Prodigy Investments Limited for $43.8 million in cash, which it said reflected fair value as of June 30, 2026 plus accrued cash interest. Net change in unrealized gains was $18.1 million, including $26.1 million from reversing previously recorded unrealized losses on investments realized during the period.

During the quarter the company received $11.0 million of principal prepayments, $1.0 million of early repayments and $5.4 million of scheduled principal amortization. Unfunded commitments totaled $171.6 million as of September 30, of which $54.0 million will expire during 2026.

The weighted average investment ranking of the debt portfolio improved to 2.24 from 2.28 at June 30. One company with $28.0 million of principal was upgraded from Yellow to White; two companies with $33.8 million of aggregate principal were downgraded from White to Yellow. White-rated debt was 64.7% of fair value.

Net asset value was $339.9 million, or $8.32 a share, down from $352.8 million, or $8.67 a share, at June 30. Gross leverage was 1.18x and net leverage 1.12x. Total liquidity was $168.0 million, including $18.0 million of cash and $150.0 million of available revolver capacity.

Seven portfolio companies raised $2.6 billion of capital in private financings during the quarter, five of which were active debt portfolio companies raising $1.5 billion. Sponsor TPC purchased 313,865 shares in a private transaction, bringing its holding to 2,312,354 shares, or 5.7% of outstanding common stock.

The board declared a fourth quarter regular distribution of $0.23 a share, payable December 30, 2026. Subsequent to quarter-end, the adviser amended its income incentive fee waiver to waive the quarterly income incentive fee in full through the end of fiscal year 2027. The company also said that through November 3 it had closed $60.0 million of additional debt commitments, funded $57.4 million of new investments and received $72.6 million of principal prepayments generating more than $2.0 million of accelerated income.
