Ocugen Starts Geographic Atrophy Phase 3 and Licenses OCU400

Cash, cash equivalents, restricted cash and short-term investments stood at $84.6 million as of September 30, 2026, with the company saying the balance is expected to extend runway into 2028.

Ocugen, Inc. (OCGN), a biotechnology company developing gene therapies for blindness diseases, reported a narrower net loss in the three months ended September 30, 2026, as it converted a second-quarter term sheet into an exclusive OCU400 license for the Middle East and North Africa, received provisional approval for OCU400 in The Bahamas, and began dosing in a Phase 3 geographic atrophy trial.

Net loss was $3.598 million, or $(0.01) a share, versus $20.051 million, or $(0.07) a share, a year earlier. The company said the quarter included a $16.562 million gain on the change in fair value of derivative liability and higher interest income of $649 thousand, compared with $207 thousand.

Collaborative arrangement revenue, the company’s only revenue line, was $1.951 million, up from $1.752 million a year earlier. Total operating expenses were $19.704 million, versus $19.377 million, with research and development at $12.500 million and general and administrative at $7.204 million.

Interest expense rose to $3.090 million from $1.314 million after the company closed a $130.0 million convertible senior notes financing in the second quarter. Convertible notes of $83.117 million and a related derivative liability of $17.146 million appeared on the September 30, 2026 balance sheet, versus none at December 31, 2025. Long-term debt, net, fell to $1.743 million from $27.542 million. Shares outstanding were 339.3 million.

Cash, cash equivalents, restricted cash and short-term investments totaled $84.6 million as of September 30, 2026, versus $18.9 million at December 31, 2025. The company said the balance is expected to extend runway into 2028.

The company converted a binding term sheet signed in the second quarter with Roots Pharmaceutical into an executed exclusive OCU400 license for MENA. Ocugen is eligible for up to $4 million in combined upfront license fee and potential initial development milestone payments, up to $255 million of potential sales milestones, and a 22% royalty on net sales, and will manufacture commercial supply. It is the company’s second regional OCU400 license, following Kwangdong Pharmaceutical in South Korea.

Ocugen received provisional approval and priority designation from The Bahamas’ Longevity and Regenerative Therapies board for OCU400 and executed an agreement with Global Alliance for Regenerative Medicine to coordinate patient care. The company said it is progressing site readiness toward full approval and potential patient enrollment as early as year-end.

Dosing began in ArMaDa3, a 240-subject global Phase 3 trial of OCU410 for geographic atrophy, after FDA clearance to initiate the trial in the second quarter and RMAT designation. The trial randomizes patients 2:1 to a single subretinal injection of OCU410 or untreated control across the U.S., Canada and Europe; the primary endpoint is GA lesion growth over 12 months.

Top-line data from the 140-patient Phase 3 liMeliGhT trial of OCU400 remain expected in the first quarter of 2027, followed by a planned Biologics License Application. OCU410ST Phase 2/3 topline data remain anticipated in the second quarter of 2027. The company said it completed PPQ batches to support the OCU400 BLA and commercial launch supply.

The company named Jolanda Crombach general manager of a newly established European affiliate in Amsterdam to support OCU410 Phase 3 development, upcoming marketing authorization submissions and potential commercialization in Europe.
