L.B. Foster Completes $52.2 Million Dulworth Asset Purchase
The rail and infrastructure technology provider closed the cash asset deal to add precast concrete manufacturing and high-growth end markets.
L.B. Foster Company (FSTR) completed an approximately $52.2 million cash asset purchase of Dulworth Enterprises, Inc. on October 28, 2026.
The company said the acquisition is designed to accelerate its growth strategy by expanding manufacturing capabilities, enhancing its product portfolio, and increasing exposure to attractive precast concrete and high-growth end markets.
L.B. Foster, a global technology solutions provider of products and services for the rail and infrastructure markets, framed the deal as a step into precast manufacturing rather than a simple product add-on. The company said the combination is meant to broaden how it serves customers in markets it had already been touching through existing relationships.
John Kasel, President and Chief Executive Officer, said the purchase is a natural extension of the company’s growth strategy. “By combining our existing residential wastewater portfolio with Dulworth’s manufacturing expertise and differentiated technology, we are enhancing our ability to serve customers in attractive high-growth markets,” Kasel said. “We have long recognized the value of their technology through our existing relationship and experience using their solutions, which gives us a high degree of confidence in the strategic and operational fit of this combination.”
The asset-purchase structure and all-cash consideration left the transaction as a completed acquisition rather than a pending combination. L.B. Foster said Dulworth’s manufacturing expertise and differentiated technology would sit alongside the company’s existing residential wastewater portfolio, giving it a wider product set aimed at precast concrete applications.
The company did not disclose a premium, an exchange ratio, or a separate financing commitment for the $52.2 million cash purchase. It said the deal was completed on October 28, 2026, and that the strategic rationale centered on manufacturing scale, product breadth, and access to precast concrete end markets it described as attractive and high-growth.
Kasel’s remarks placed the existing customer relationship at the center of the rationale: L.B. Foster said it had already been using Dulworth’s solutions, which it said gave it confidence in the operational fit of combining the two. The company presented the close as the point at which that manufacturing capability and product technology became part of L.B. Foster’s own portfolio.
