Yao Yun's Indaptus stake slips after private placement
The Australian investor's Indaptus Therapeutics holding fell to 27.34% after a 20.3 million-share private placement, with no shares bought or sold.
Yao Yun’s beneficial ownership of Indaptus Therapeutics, Inc. (INDP) common stock fell to 27.34% after the company issued 20,338,974 shares in a private placement that closed on October 16, 2026.
The Australian private investor still held 41,991,000 shares, with sole voting and dispositive power over the entire block and no shared rights. The percentage decline of more than 1% came solely from the dilution of the private placement, not from any sale or purchase by the reporting person.
The new percentage is calculated against 153,581,298 shares of common stock outstanding, combining 133,242,324 shares outstanding as of August 13, 2026 with the 20,338,974 shares issued or issuable at the October 16 closing. Indaptus reported the placement in a Current Report on Form 8-K filed October 20, 2026.
Yun Yao originally acquired the shares through a Securities Purchase Agreement dated March 19, 2026, funded with personal money of $4,317,206.43, and the shares were issued upon conversion of Series AA and Series AAA preferred stock when the transaction closed on March 23, 2026. The initial Schedule 13D was filed March 30, 2026 on behalf of a group that later disbanded; Amendment No. 1 on April 29, 2026 reported that disbandment, and Amendment No. 2 followed on June 26, 2026.
This Amendment No. 3, filed October 22, 2026, incorporates Item 4 of the Initial Schedule 13D by reference and states that the reporting person did not acquire or dispose of any common stock in connection with the placement. The reporting person has not effected any transaction in Indaptus common stock during the past 60 days.
The stake remains a large minority position after the October issuance, with the share count unchanged and only the percentage denominator expanded by the private placement.
