Quanta Adds Revenue Timetable After SEC Questions

Quanta expanded its explanation of when contracted work would become revenue after SEC staff challenged the detail provided beyond the first year.

Quanta Services (PWR) expanded its timetable for turning contracted work into revenue after the SEC pressed it to explain the portion expected beyond its first-year forecast. The company added longer-term time bands and a fuller explanation of why construction schedules could shift, giving investors more detail on when its outstanding obligations were expected to produce revenue.

Staff’s April 15 question centered on Quanta’s $23.76 billion of remaining performance obligations at the end of 2025. Quanta had estimated that 66.1% would become revenue within 12 months. Staff asked when the remaining 33.9% would be recognized and how Quanta had considered presenting the expected revenue in successive annual periods.

Quanta defended its existing approach. The company said accounting guidance permitted either numerical time bands or qualitative explanations of expected revenue timing. It considered the first year the most relevant period to quantify and said forecasts beyond that horizon became less certain. Substantially all its contracts were long-term construction arrangements under which revenue was recognized over time, the company explained.

The company added language to its March-quarter disclosures published April 30. Alongside the percentage expected to become revenue within the first 12 months, Quanta said a substantial majority of the remaining balance would be recognized during the following two years, with the rest recognized thereafter. It also committed to maintaining those broader timing descriptions in future disclosures. The change extended the explanation beyond the initial year without assigning a separate revenue amount to each subsequent year.

SEC staff completed the review on May 6, one day after Quanta’s response. The closing letter contained no further substantive request concerning the revenue timetable.

Quanta’s explanation also established the limits of those estimates. Project accelerations, cancellations and delays could move revenue between periods; regulatory requirements, adverse weather and customers’ final acceptance of change orders could also affect recognition. The added time bands gave readers a longer view of contracted work, with an explicit warning that actual revenue could arrive in different periods and at different levels from those originally projected.
