Zymeworks Partners ZW209 With Roche for $55 Million Upfront

The collaboration pairs Zymeworks’ multispecific antibody work with Roche’s cancer-medicine capabilities and adds up to $718 million in later milestones.

Zymeworks Inc. (ZYME) agreed to a collaboration with Roche on ZW209, a DLL3-directed trispecific T cell engager, under which the biotechnology company will receive a $55 million upfront payment and a $40 million payment upon initiation of a Phase 1b trial, with potential for up to $718 million in additional development, commercial and sales-based milestones.

Zymeworks will conduct the Phase 1a monotherapy trial of ZW209 in collaboration with Roche, bringing together its expertise in multispecific antibody therapeutics with Roche’s global capabilities in the research, development, manufacturing and commercialization of cancer medicines, the company said.

The deal is structured around shared development risk rather than a full sale. Zymeworks keeps an early clinical role while Roche funds the Phase 1a trial and is responsible for subsequent global development and commercialization of ZW209. The $40 million Phase 1b initiation payment sits between the upfront cash and the larger milestone stack, giving the company a defined near-term cash event tied to trial start rather than to a later regulatory or commercial outcome.

Adam Schayowitz, Ph.D., MBA, Executive Vice President and Head of R&D at Zymeworks, said the collaboration allows the company to continue advancing ZW209 through its initial clinical development while leveraging Roche’s complementary capabilities to accelerate and expand its development across indications and treatment settings.

He said the agreement also reflects a broader strategy of generating innovative programs through Zymeworks’ R&D engine and partnering selected assets in ways that share development risk while preserving meaningful participation in their future success.

ZW209 had already been on Zymeworks’ clinical calendar. In September 2025 the company said it was preparing an IND filing for the DLL3-directed trispecific T cell engager, planned in the first half of 2026. U.S. FDA IND clearance has since been received, and a Phase 1, open-label, multicenter, global study investigating ZW209 has been initiated to evaluate safety, tolerability, pharmacokinetics, and preliminary antitumor activity in adult participants with select advanced solid tumors, including small cell lung cancer and other DLL3-expressing neuroendocrine tumors. Additional global regulatory applications are planned to support the opening of clinical study sites outside the U.S.

Closing is subject to the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Zymeworks has described itself as a global clinical-stage biotechnology company developing novel, multifunctional biotherapeutics for cancer, inflammation and autoimmune disease, with complementary therapeutic platforms and an integrated drug-development engine used to engineer antibody-based candidates. The ZW209 collaboration adds a Roche-linked cancer program to that pipeline while the company continues to advance other wholly owned candidates and licensed products.
