Climb Global Solutions Acquires NeoVAD for $18.0 Million

The IT reseller adds about 300 French resellers and deeper Cato Networks, DataCore and Netwrix ties as it expands its European platform.

Climb Global Solutions, Inc. (CLMB) completed the acquisition of NeoVAD, a France-based value-added IT distributor focused on cybersecurity, cloud services and virtualization, for an aggregate purchase price of approximately €16.0 million, or $18.0 million. The company said the transaction is expected to be accretive to earnings per share and adjusted EBITDA.

The deal is framed as a European scale-up rather than a bolt-on. Climb said the purchase expands its European platform and adds reach in France through about 300 active resellers. It also deepens vendor relationships, including with Cato Networks, DataCore and Netwrix.

For the fiscal year ended December 31, 2025, NeoVAD generated EBITDA of approximately €2.2 million ($2.5 million), which was up 487% from approximately €378,000 ($427,000) the prior fiscal year. Those figures were derived from internal financial statements prepared by NeoVAD management and may not be comparable to Climb’s non-GAAP measures.

“NeoVAD is a strong fit with our strategy to continue expanding Climb’s scale and capabilities across Europe,” said Climb CEO Dale Foster. He said the acquisition adds meaningful reach in France, strengthens several important vendor relationships and creates opportunities to bring more of Climb’s portfolio to NeoVAD’s reseller network. He also cited a meaningful opportunity to expand the Microsoft distribution business by pairing existing EMEA capabilities with NeoVAD’s local training and technical support expertise.

Foster said the company expects the acquisition to be accretive to earnings and adjusted EBITDA, while NeoVAD’s stronger margin profile further supports profitability objectives and expands the European platform for continued growth.

NeoVAD Founder and CEO Jérôme Boulon said the company has spent more than a decade building a focused portfolio of cybersecurity, cloud and virtualization solutions and a high-touch model designed to help resellers bring those technologies to market. He said Climb shares that focus on specialized, value-added distribution and brings broader scale and capabilities that can help build on what NeoVAD has established in France.

The release also mentions interworks.cloud among acquisitions. Climb said anticipated earnings and adjusted EBITDA accretion, synergies and other strategic benefits of the NeoVAD acquisition may not be realized within the expected timeframe or at all.
