Gibraltar Industries to Sell D.S. Brown for $208 Million
The building-products maker said the asset purchase will fund debt reduction as it narrows the portfolio around residential, agtech and infrastructure.
Gibraltar Industries, Inc. (ROCK) agreed to sell D.S. Brown in a $208 million cash asset purchase, a further step in its effort to concentrate on building products and structures.
The Buffalo, New York, manufacturer expects the transaction to close in the fourth quarter of 2026, subject to customary closing conditions, including required regulatory approvals.
Proceeds are slated to accelerate debt reduction. The sale sharpens strategic focus and resource allocation on the building products and structures end markets.
Chairman and CEO Bill Bosway said: “This sale is another step in the simplification of our portfolio, sharpening our strategic focus and resource allocation on the building products and structures end markets to drive greater value and returns for our stockholders.”
The move follows a two-step unwind of Gibraltar’s Renewables business. In February 2026, the company sold its electrical balance-of-systems unit to a GameChange Energy Technologies subsidiary for $70 million in cash. In July, it completed that process by selling racking and foundations operations to Unirac, finishing the divestiture and aligning the remaining portfolio with the building products and structures plan.
On June 30, 2025, Gibraltar reclassified Renewables as discontinued operations to focus resources on residential, agtech and infrastructure. The D.S. Brown sale extends that same simplification logic to another asset, with cash directed at the balance sheet rather than further growth spending.
The company has already used sale proceeds from the eBOS and racking-and-foundations transactions for debt reduction. The $208 million D.S. Brown asset purchase is the next application of that playbook, with closing still contingent on regulatory sign-off and other customary conditions in the fourth quarter of 2026.
