Amplitude to Acquire Statsig in All-Stock Deal

The analytics platform is buying the experimentation company to fold feature-flag and A/B testing into its AI analytics stack.

Amplitude, Inc. (AMPL), the digital analytics platform, agreed to acquire Statsig, an experimentation and feature-flag company, in an all-stock transaction. The companies said the combination is intended to put experimentation, flag management, and product analytics on a single stack so product teams can test, ship, and measure changes without stitching together separate tools.

The deal is structured as an all-stock purchase, with Amplitude issuing its own shares as consideration. No cash-per-share figure, exchange ratio, or premium was disclosed in the announcement. The companies did not state an expected close date or list regulatory conditions in the release.

Amplitude has described itself as the leading AI analytics platform, helping more than 4,700 customers build products and digital experiences, with AI agents embedded across the platform for analysis, testing, and optimization. The company said it is ranked #1 across multiple categories in G2’s Fall 2025 Report. Statsig’s experimentation and flagging capabilities sit adjacent to that testing-and-optimization workflow.

The acquisition is a product-line expansion rather than a change in Amplitude’s core analytics franchise. The companies framed the rationale as reducing the number of systems product teams must combine to run experiments, manage feature flags, and read the resulting usage data. That is the thread the announcement leans on: one platform for the test-ship-measure loop.

Amplitude’s most recent public framing of the business emphasizes AI agents across the analytics stack and a customer base that includes Atlassian, Burger King, NBCUniversal, Square, and Under Armour. The company also reaffirmed its first-quarter and full-year 2026 financial outlook in February, after President Thomas Hansen’s planned departure effective March 31, 2026, with Chief Revenue Officer Nathaniel Crook stepping in as first Chief Commercial Officer. Those governance and outlook items predate the Statsig agreement and were not restated in the acquisition release.

The companies did not provide a target-company revenue figure, a premium to a trailing price, or a closing timetable. Until those terms are published, the all-stock structure and the stated product rationale are the only deal mechanics the release puts on the record.
