DOJ extends review of Patrick’s all-stock LCI acquisition
Requests for additional information extend the antitrust waiting period for Patrick’s proposed acquisition of LCI.
LCI Industries (NYSE: LCII) and Patrick Industries, Inc. received Justice Department requests for additional information on October 9, 2026, extending the antitrust waiting period for their proposed merger, LCI said on October 13.
LCI supplies engineered components for outdoor recreation and transportation through its Lippert subsidiary. Patrick designs, manufactures and distributes components for recreational vehicles, marine, powersports and housing customers. Under their June 30 agreement, Patrick would acquire LCI through an all-stock merger, with LCI shareholders receiving 1.2440 Patrick shares for each LCI share.
The requests follow the companies’ September 4 withdrawal of their initial antitrust notifications and September 9 resubmission. Those resubmissions started a new waiting period before the DOJ issued its second requests.
The waiting period now runs until 30 days after both companies substantially comply with the requests, unless the DOJ terminates it earlier or the parties agree to extend it. LCI said completion remains subject to that waiting period ending and the other merger closing conditions being satisfied or waived.
