SSR Mining to Buy Roxmore in $464 Million Cash Deal

The gold miner will pay C$6.75 a share for Converse, a multi-million-ounce resource next to Marigold, and expects more than $200 million in life-of-mine synergies.

SSR Mining Inc. (SSRM) agreed to acquire Roxmore Resources Inc. for approximately $464 million in cash, paying C$6.75 a share, in a move to add the Converse Gold Project beside its Marigold mine in Nevada.

The price represented a 27% premium to Roxmore’s closing price on the Toronto Stock Exchange on October 9, 2026, and a 47% premium to the 20-day volume-weighted average price. The companies said the transaction is expected to close in the fourth quarter of 2026.

Developing Converse as a contiguous asset to Marigold is expected to create opportunities for an expanded production profile in Nevada and deliver more than $200 million in life-of-mine synergies compared with developing the project on a stand-alone basis.

Rod Antal, executive chairman of SSR Mining, said, “The acquisition of Roxmore and its Converse Gold Project represents a compelling opportunity to add a high-quality, multi-million-ounce gold resource next door to our Marigold mine at an attractive valuation.”

The deal fits a 2025–2026 refocus on the Americas. SSR Mining closed last year’s acquisition of Cripple Creek & Victor, establishing the company as the third-largest gold producer in the United States with two core operations, each with mine lives in excess of 10 years. In March 2026, it signed a definitive agreement to sell its 80% stake in Çöpler in Türkiye for $1.5 billion in cash; together with CC&V, the sale completed the strategic refocus to an Americas platform anchored by Marigold and Cripple Creek & Victor.

Antal said in May that the Çöpler sale, together with the CC&V acquisition, positioned SSR Mining firmly in the Americas and re-established the company as a leader in free cash flow generation. In August, he said the strategic repositioning was complete, with Marigold and CC&V as the long-lived U.S. anchors.

Organic growth at Marigold is already under way. SSR Mining has been advancing Buffalo Valley at Marigold as a brownfield development, and in June it closed an approximately C$5 million investment for a 9.9% stake in Phenom Resources Corp., with a framework to take a 15% interest in Phenom’s Dobbin project in Nevada for an additional $4 million. The company remains on track to spend $35 million on growth exploration and resource development in 2026.

Converse sits next to that Nevada footprint. The cash consideration of C$6.75 a share and the expected fourth-quarter 2026 close leave the synergies case as the operating test: more than $200 million in life-of-mine value versus a stand-alone Converse, and a larger Nevada production profile around Marigold.
