Seabridge Gold to Buy Wyoming Slaughterhouse Project
The gold producer is paying up to US$2.85 million in cash and milestones to test an unproven hematite IOCG concept in southern Wyoming.
Seabridge Gold Inc. (SA) agreed to acquire 100% of the Slaughterhouse Project in southern Wyoming for US$300,000, with additional milestone payments of up to US$2.55 million, for a maximum cash outlay of US$2.85 million.
The gold producer framed the asset purchase as a bid to pursue an undiscovered large, high-grade hematite iron-oxide-copper-gold deposit with significant critical-metals co-products, using modern exploration tools.
Chair and CEO Rudi Fronk said the company’s approach will employ a concept that has never been tested in Wyoming.
“Although this is an early-stage project, we believe we have the potential to make a discovery that opens new possibilities for gold and critical metals exploration,” Fronk said.
He added that using new technologies and aggressive exploration could unlock mineral systems relatively quickly.
The structure is a cash asset purchase rather than a share swap or stock consideration. The US$300,000 is the headline price; the remaining US$2.55 million is payable as milestones, so the full US$2.85 million is not spent at signing.
Seabridge described the target as early-stage and the deposit as undiscovered, leaving the geological case to be tested rather than assumed. The company said it intends to apply modern exploration thinking and tools to the hematite IOCG system and its critical-metals co-products.
Fronk’s comments put the wager on a novel concept in Wyoming rather than on an existing resource or mine. The company said it believes the project has the potential to open new possibilities for gold and critical-metals exploration and that aggressive exploration with new technologies could unlock mineral systems relatively quickly.
The milestone structure keeps most of the cash tied to later work, so the near-term cost is the US$300,000 purchase price, with up to US$2.55 million more if the exploration program reaches the agreed milestones.
